This role is based 5 days a week at our Shirebrook HQ.
We are currently seeking an Assistant Company Secretary with strong technical knowledge and skills to join our team in Shirebrook. This role is perfect for somebody who is looking to progress their CoSec career with a commercially focused business. You will have the opportunity to be commercial and creative, set agendas, make decisions and make a massive impact. This is not just a back office role.
You will assist the Group Company Secretary with listed responsibilities from organising the AGM, to RNS announcements, share transactions and drafting governance sections of the annual report. You will provide high-quality support for the entire Frasers Group portfolio of UK and international subsidiary companies.
You will also:
* Support the Company Secretary on day-to-day corporate matters, ensuring the delivery of governance and company secretarial services in line with regulatory frameworks.
* Assist with corporate restructurings and M&A transactions, liaising internally with the legal, finance and tax departments and with external third-party advisors as required.
* Be responsible for the end-to-end management of Frasers' Board and Committees, acting as Secretary to the Board and Committees, managing/overseeing agenda planning, organising, attending, and minuting meetings and following up post-meeting actions as required.
* Draft minutes/resolutions for the UK subsidiaries to support Group dividends/distributions and other ad hoc matters as required.
* Contribute to the Annual Report and Accounts process, including drafting the Governance Report and Directors' Report, and supporting with AGM preparation.
* Manage two Company Secretarial Assistants.

If successful we anticipate two further interview stages with the Hiring Manager/wider team which will be more technically focused and could include a presentation/task so we can see your skills in action.
Minimum Requirements:
* CGI qualified with three to five years' experience.
* Experience in a commercially focused FTSE listed business is beneficial.
* Experience of Global Entity Management and used to managing a large portfolio of companies.
* A self-starter who is used to working with minimal supervision.
* Knowledge of the Companies Act 2006 and UK Corporate Governance Code.
* Strong technical and analytical skills with the ability to think broadly on a range of issues and apply sound judgement in problem solving.
* Able to adapt well to change in a fast-moving environment.
* Well organised with strong attention to detail and accuracy.
* Able to liaise confidentially at all levels and to act with discretion.
* Seeks out opportunities to improve, share knowledge and remain abreast of changes in Corporate Governance best practice, ensuring that services delivered by the Secretariat are best in class.
* A flexible can-do approach to relevant issues and to act promptly to ensure situations are dealt with.
