In this key role, you will provide crucial support to the Company Secretary and the Board of Directors, working on a range of important and confidential tasks that require exceptional attention to detail and discretion. As an Assistant Company Secretary, you will be exposed to high-level governance and compliance matters, ensuring that Luxfer remains in line with regulatory requirements while contributing to the effective functioning of the Board. Key Responsibilities: Assistant Company Secretary Governance & Compliance : Conduct research on regulatory, statutory, and corporate governance matters to ensure compliance and proactively address new requirements. Share Plan Administration : Oversee the Company’s share plans and ensure proper administration. Corporate Records : Maintain up-to-date company registers, filing reports and returns with governmental bodies as required. Reporting : Draft relevant sections of the Proxy Statement, UK Report, and Accounts, with a focus on corporate governance matters. Corporate Policies : Monitor, maintain, and update the Company’s corporate governance policies to reflect best practices. Subsidiary Support : Assist in the formation and maintenance of domestic and international subsidiaries, including preparing governance documents and corporate resolutions. Board Support : Organize and assist with logistics for Board meetings and the Annual General Meeting of Shareholders, ensuring smooth execution and timely preparation of presentation materials. Administrative Support : Maintain accurate records in the document management database, including meeting minutes and corporate records. Additional Duties : Support other tasks as needed to achieve broader business objectives. Required Skills and Abilities: Assistant Company Secretary Organizational Skills : Excellent attention to detail and ability to manage multiple tasks simultaneously. Professional Demeanour : Strong verbal and written communication skills with the ability to interact effectively with senior leadership. Time Management : Proven ability to prioritize work independently, exercising sound judgment in a fast-paced environment. Adaptability : Comfortable with change and able to thrive in a dynamic role that requires flexibility and discretion. Positive Attitude : A proactive and creative approach to problem-solving, with a passion for continuous learning. Technical Proficiency : Strong computer skills, including proficiency in Microsoft Office (Word, PowerPoint, Excel, SharePoint, Teams). Education and Experience: Assistant Company Secretary Minimum of 1-3 years’ experience in a company secretarial, legal, or paralegal role. Experience in corporate governance and regulatory compliance is highly desirable. Additional Information: Assistant Company Secretary Salary : Up to £50,000 (commensurate with experience). Bonus : Eligible for performance-related bonus. Leave : Twenty-five (25) days of annual leave, plus bank holidays.
