We are recruiting a temporary company secretary on behalf of our client to assist during a transition period and a time of high workload.
Key job responsibilities
* Help ensure statutory requirements are met in maintaining corporate records and statutory filings.
* Support with the delivery of the full range of corporate secretarial support across both Engines (Consult and Construct) whilst ensuring that issues are promptly escalated to the Company Secretary.
* Assist with the registration and closure of all corporate entities, including the circulation of the due diligence checklist in relation to any closures.
* Carry out the set-up, closure and KYC requests for bank accounts in the UK and internationally, ensuring that the mandate signatories are kept up to date.
* Collaborate with third party advisors.
* Ensures director changes, Power of Attorney’s, intracompany loan agreements and dividends are captured correctly, and necessary paperwork is prepared and executed, and recorded on Diligent Entities system.
* Work with team members providing operational delivery of team/regional strategy etc.
* Ensures best practice in meeting statutory requirements, maintaining corporate records and Companies House filings.
* If required, attend, participate in, and minute sub board and or committee meetings.
* Ensure statutory financial statements are filed on time for all UK subsidiary companies and the international construction companies.
* Provides management support in matters relating to banking and KYC. I
Specific projects
* Audit of data held on Diligent Entities group corporate database system.
* Assist with legal entities rationalisation project and ensure process is followed to clear companies for dissolution.
* Assist in restructuring Co Sec electronic filing systems and standardise filing conventions.
The successful candidate should have:
* Commercial and strategic mindset.
* Good grasp of company secretarial and corporate governance issues in the UK and internationally.
* Good grasp of the Companies Act.
* Law Degree (or equivalent).
* Good communication skills and manages internal stakeholders.
* Seeks opportunity to improve working knowledge and expertise and feedback from stakeholders.
* Works well with team members.
* Efficient and organised.
