Description Purpose of Role:
To provide professional, timely, cost-effective and practical legal advice and support to business/function.
Critical Responsibilities:
1. Ensuring that all activities are carried out in a safe manner complying with all regulatory requirements, legislation and HSES Procedures.
2. Provide legal advice and, when necessary, manage outside legal services on various commercial, regulatory and strategic issues that may affect the Company.
Ethics and Compliance Responsibilities:
1. Ensure that all activities and behaviours are carried out in accordance with our client's Ethics and Compliance Policies and Procedures, and to complete any compulsory compliance training as required.
Areas of Accountability, Responsibility and Competence:
1. The role is broad and will involve a variety of work, including some or all the following activities:
2. Proactively contribute to the delivery of the scorecard, ensuring legal risks and commercial opportunities are managed appropriately.
3. Provide pragmatic and practical advice and guidance to the business (often, but not always, unsupervised) on all legal matters.
4. Contribute to and lead the assessments of risk on significant commercial opportunities, business decisions and HSEQ.
5. Effectively communicate all relevant legal and regulatory policies, processes and procedures throughout the businesses.
6. Effectively draft, negotiate and review a wide variety of commercial agreements and proactively handle various matters through to resolution.
7. Support the Line Manager and General Counsel in execution of the above, including by supervising the work product and learnings of less experienced team members.
8. Any reasonable instruction from the Line Manager.
Critical Skills, Qualifications, Experience, etc.:
1. Qualified solicitor in England & Wales or Scotland.
2. Strong academic background and capable of applying jurisprudence in real situations.
3. Extensive knowledge of Oil and Gas operations in the UK including UK regulatory framework, Joint Venture agreement structures, oil and gas transportation arrangements, gas sales and construction and tie-in arrangements.
4. Knowledge of Ethics and Compliance procedures.
5. Ability to supervise and positively influence less experienced members of the team.
6. Influencing, negotiating and facilitation skills.
7. Ability to work as part of a multi-disciplinary team and with both internal and external stakeholders with diverse cultural backgrounds.
8. Excellent interpersonal skills.
9. Precision, rigour and attention to detail.
10. Aware of HSEQ Policies and Business Management System (BMS).
11. Promotes Values & Business Principles and Policies & Procedures.
12. Ability to interface directly with Senior Management.
