Company Secretary

Role:
Provide corporate governance and company secretarial services to the Board, Committees and legal entities
Organising and preparing agendas and papers for board meetings, committees and annual general meetings (AGMs)
Advice the Directors on their duties under the Companies Act, regulatory conflicts and distributions (given regulatory oversight of the bank's capital position
Manage Director Appointments and Resignations
Renew and update Corporate Governance documents including but not limited to Board Charter, Terms of References
Oversight of corporate disclosures for a UK Bank with listed debt obligations and providing corporate governance input to the Annual Report and Accounts
Oversight and coordination of company secretarial work including signing authorities, maintenance of statutory registers & records, arranging for powers of attorney and certifications
Oversight of Legal Entity Management work including incorporations, corporate restructures, liquidations, share allotments etc.
Manage the Company Secretarial Trainee
Oversight of document notarisation and legalisation
