Job Description Legal Secretary Full-time London Buckingham Green/Hybrid – 3 days on-site What you will be doing Rolls-Royce & Partners Finance Limited (“RRPF”) is a fast-paced jet engine leasing company with the largest global portfolio of Rolls-Royce and IAE V2500-A5 aero engines, providing medium and long term spare engine leasing and bespoke financial solutions to airlines, aircraft lessors and OEMs worldwide. We support over 70 customers worldwide with a portfolio of over 500 jet engines This is an important role within the Legal & Contracts function at RRPF who require an experienced, pragmatic and enthusiastic Legal Secretary to join the team. The role is extremely diverse and requires excellent organisational skills, the ability to multi-task and to prioritise workload, as well as the ability to communicate effectively. Accuracy and a meticulous eye for detail are essential. Responsibilities In this role, you will perform: 1. Legal Administration/Secretarial work - providing legal adhoc administrative support to a legal team of 6 x people, including managing execution of various legal contracts, proofreading and editing of legal contracts, e-filing of legal contracts and safekeeping of ink originals, liaising with notaries and other general administrative services. 2. Contract management and administration – including using RRPF’s contract management system (“Trinity”) which is a Salesforce based system: Responsible for review of lease/contract data in Trinity and compare it back to the underlying contract to ensure accuracy in our data. Raise any concerns with the Paralegal & Contract Manager or relevant Marketing Director. Insurance/Reinsurance renewals – liaise with customer and/or their insurance broker on the upcoming insurance renewal; review the renewed certificate and ensure it accurately reflects the requirements of the underlying sale or lease agreement and RRPF’s financing; update Trinity. Responsible for the management of RRPF’s Letters of Credit including liaising with customers on any upcoming renewals. E-filing of all RRPF contracts including: lease agreements, sale agreements, maintaining local law legal opinion library, insurance certificates, security filings. Management and safekeeping of ink original contracts including: following up with customer post-closing to ensure that a full set of original contracts are exchanged and any title documents received. All originals to be sent offsite for safekeeping. Responsible for RRPF signing process including setting up contracts for signatures on DocuSign. Process management and improvement – responsible for the legal/contracts processes and ensure they are updated accordingly. 3. Security Process Administration: management of the security administration process under RRPF’s financing – to ensure security is created and released in line with RRPF processes for any new acquisitions or disposals. 4. Company Book-Keeping: responsible for maintaining the various company books under guidance of RRPF’s Legal Counsel and RR plc Corporate Governance team, including: Maintaining the Company Books for approximately 10 legal entities. Responsible for setting up various board meetings with directors and attendees and compliance with the company’s articles in relation to notice periods for board meetings. Drafting board minutes, powers of attorney and any ancillary documents using previous precedents. Liaise with Rolls-Royce plc Corporate Governance department for all Companies House filings. Assisting with management of non-UK Companies with the applicable Company Secretaries including maintaining copies of board minutes and authorisations, constitutional documents. Why Rolls-Royce?
