Description:
We're currently looking for a candidate who can assist the RCS Global Head of Governance in delivering a professional and ‘best in class’ governance service in EU, UK and LATAM, advising on a broad range of governance matters to support the Boards and Senior Management in effectively discharging their roles and responsibilities and compliance requirements, including:
•Reviewing the Entity(s)’ governance structure and developing related corporate-governance documents and policies (Governance Charters, Board Charters, Board Committees Terms of Reference, Policies) in line with legal and regulatory requirements.
•Manage the end-to-end cycle of Board and Committee meetings including scheduling meetings and coordinating schedules, setting the agenda, collaborating with relevant stakeholders for materials and updates, reviewing materials, distributing meeting materials well in advance, recording minutes (capturing key decisions, action items and main discussion points), and following up with action owners to ensure timely completion/updates;
•Ensuring meetings are well organized, productive and contributing to the overall governance and decision-making process;
•Ensuring that the Board and Board committees follow the Entity’s rules and policies as determined by the constitutional documents, Governance/Board Charter, Committees Terms of Reference, including in the conduct of their meeting;
•Supporting the Board in delivering Director induction and training as needed;
•Maintaining close contact and dialogue with the Compliance Function for updates on governance regulatory compliance requirements;
•Responsibility for providing appropriate governance expertise in ad hoc projects.
•Assisting with the nomination and appointment of Board members to subsidiaries.
Must Haves:
•Governance: Good governance knowledge and experience;
•Analytical skills: Ability to interpret laws and regulations, data and trends to inform decision making and assess the impact of governance measures
•Communication Skills: Efficient communication skills (verbally and written);
•Leadership and decision-making skills; Experience in working with/ supporting senior stakeholders;
•Collaboration: Team player, with the ability to foster collaboration across different functions and build strong relationships with colleagues and key stakeholders;
•Organization skills and attention to detail: Strong organizational skills (good sense of order and be methodical, with a good eye for detail);
•Problem Solving: Ability to identify and address governance issues proactively, finding practical and compliant solutions.
•Project management: Effectively manage governance related projects and tasks;
•Adaptability: Ability to work under pressure and under tight deadlines;
