Job Description
We’re recruiting for a Company Secretarial Assistant to join us. This role is responsible for supporting the Asset Management Company Secretarial team in providing a full governance and company secretarial service to Legal & General Investment Management (Holdings) Limited and its subsidiary companies and committees. This is a great opportunity for someone looking to progress their company secretarial career and gain experience at a FTSE 100 company, offering a wide range of exposure across the division, including a portfolio of Boards/Committees and exposure to senior stakeholders. There is also opportunity to work across the wider Group alongside the PLC Secretariat.
What you'll be doing:
* Providing company secretarial assistance to the chartered company secretaries within the function ensuring that all entities remain fully compliant with the provisions of the Companies Act 2006 and where relevant, regulatory requirements.
* Assisting with the arrangements and logistics of a portfolio of Asset Management Board and Committee meetings including, but not limited to: -
o Supporting the Secretaries of a number of senior Board and Committee meetings Board/Committee meeting administration and logistics including site visits
o Drafting, and timely distribution, of agendas, action logs, board paper reminders and Board and Committee packs
o Managing the updating of the corporate forward planner for the Board and Committees and ensuring all activities are initiated and completed in a timely manner
* Assisting with governance projects to continually improve the governance standards across the Group e.g. constitutional document updates, legal entity rationalisation projects, reviews of subsidiary governance frameworks and regular verification of Diligent Entities and statutory records
* Helping on all Board/entity related matters. This includes but is not limited to:
o Assisting with the appointment, induction process and on-going training for directors
o Assisting with co-ordinating the year end process for subsidiary entities which includes the preparation and approval of year end accounts, conflicts of interest reviews and verification of Annual Report content
o Arranging for approval of contracts, drafting associated resolutions and maintaining records for subsidiary Boards
Qualifications
Who we're looking for:
* Experience of the core fundamentals of a Company Secretarial role, including minute writing
* Knowledge of the Companies Act 2006 and UK Corporate Governance Code
* Requirement to complete the Chartered Governance Institute’s qualifying scheme or studying towards qualification
* Exceptional organisational skills and attention to detail
* A high degree of personal and professional integrity
