Job Description
This in-house paralegal role ensures corporate governance compliance, and oversees contract drafting/review to streamline all operations, bringing capabilities in-house. This role is pivotal in enabling the business to operate efficiently by streamlining contract processes and enhancing corporate governance.
Key Responsibilities:
Corporate Governance:
* Ensure compliance with the UK Companies Act and maintain accurate records.
* Manage and maintain shareholder agreements and investor relations.
Contract Management:
* Review, draft, and negotiate contracts, reducing dependency on external counsel.
* Support project managers by handling contractual duties, freeing them for strategic activities.
Investor and Reporting Duties:
* Prepare investor packs and meet reporting requirements.
* Administer staff option schemes and associated documentation.
Legal Advisory:
* Provide generalist legal support, identifying and escalating matters to specialists when required.
Profile Requirements:
Experience:
* Paralegal background is preferred; qualification as a lawyer is not essential.
* Demonstrated ability in contract review, drafting, and negotiation.
* Familiarity with corporate governance processes and compliance.
* Experience in investor relations and financial reporting.
* Experience in a Pharmaceutical/Life Sciences business - essential
Skills and Attributes:
* Strong understanding of UK corporate law.
* Ability to work autonomously and identify risk areas needing specialist input.
* Collaborative approach to working across teams and functions.
Day Rate:
* Competitive: £600–800 per day
