They are currently seeking a Legal Counsel with 2-4 years of post-qualification experience as a Solicitor in private practice. In this role, you will provide comprehensive legal support to the Head of Legal and collaborate across the business on a wide range of corporate and commercial matters. Responsibilities: Provide legal counsel to all areas of the business, particularly Bulk Purchase Annuities. Support the future strategic development of various insurance lines, including assistance with the development the bulk purchase annuities/pensions de-risking business. Interpret and present legal considerations and material. Draft, negotiate, review and summarise complex legal documentation. Support the Head of Legal in advising on and managing high value insurance transactions, with and without support from external legal counsel. Support the Head of Legal in managing contracts with key suppliers and third parties involved in the provision of services across the business. Work closely with the Head of Legal and Company Secretary to provide support on day-to-day company legal matters. Support effective management of relationships with any external legal counsel and those assigned to act for third parties. Contribute to effective risk management of Utmost Life and Pensions from a legal perspective. Maintain up to date knowledge of legislative changes and industry best practice relevant to the business. Maintain competence and fitness and propriety standards to the level required by the Company's regulators. Provide the Company with access to any evidence of competence, fitness and propriety reasonably required, for example permission to carry out DBS and credit history checks. Comply with the FCA's conduct (and senior conduct) and Consumer Duty rules and the PRA's conduct (and senior manager conduct) standards. Notify the regulator(s) of matters reasonably expected to be notified. Any other task or activity as may be reasonably expected within this role. Good commercial, transactional and/or advisory experience gained from working with corporate clients. Desirable: Experience working directly within and/or acting for clients operating within the financial services industry, including the life assurance or pensions sectors. Experience relating to bulk purchase annuities/pensions de-risking transactions.
