What is the opportunity?
You will be a key member of the Subsidiary Governance Office (SGO), UK and Europe, and will support the Head of SGO Europe, with the implementation of RBC's policies and procedures relating to the corporate governance of designated RBC subsidiaries in Europe.
You will regularly interface with subsidiary directors, including independent non-executive directors and senior executives, providing and sourcing information as required to enhance the governance process.
The incumbent will act as Company Secretary for designated subsidiaries and key Executive Committees as required and will be required to prepare and submit statutory filings and returns for those subsidiaries.
What will you do?
* Act as Company Secretary for designated subsidiaries and high-level board and governance committees.
* Provide support and ongoing advice and counsel to directors and officers of designated subsidiaries on governance issues, company law and regulation.
* Support board related activities for designated subsidiaries including planning and preparation for board and committee meetings, preparation of resolutions, and maintaining corporate minute books.
* Preparation and submission of corporate and regulatory filings and annual confirmation statements for designated subsidiaries.
* Provide advice and counsel and guidance to all subsidiaries, responding to enquiries and sourcing solutions to issues on board protocols, board and committee meetings, directorships, minute taking, preparation of documentation and other matters pertaining to board activities and corporate governance.
* Act as SGO lead and pro-actively participate on cross-departmental and enterprise-wide project working groups requiring corporate governance assistance (e.g. corporate reorganisations, establishment/dissolution of subsidiaries or branches).
What do you need to succeed?
Must have
* Qualified Company Secretary (FCIS/ACIS)
* Company secretarial or legal experience in the financial services industry or equivalent in large public or private company
* Extensive experience in administrative related activity for the effective operation of legal entity boards and governance committees from a company secretarial perspective
* Degree or equivalent
* Good working knowledge of relevant governance codes
* Ability to work under pressure and make decisions as required
* Excellent communication skills both written and verbal
* Ability to adapt quickly to changing priorities and circumstances
