Job Summary
This role supports the Group’s Company Secretariat function during a transitional phase and periods of high workload. The postholder will provide a broad range of company secretarial services, ensuring compliance with statutory obligations and best practices, aligned with business strategy and operational needs.
Key Responsibilities
* Ensure statutory compliance by maintaining corporate records and overseeing all relevant filings.
* Provide comprehensive secretarial support across both Consult and Construct business divisions, escalating issues to the Company Secretary as needed.
* Support the registration and dissolution of corporate entities, managing due diligence processes for entity closures.
* Manage the opening, closure, and KYC processes for both UK and international bank accounts, ensuring mandate signatories are current.
* Liaise effectively with external advisors and internal stakeholders.
* Oversee director changes, Power of Attorney documents, intra-group loan agreements, and dividends, ensuring all documentation is accurately prepared, executed, and recorded in Diligent Entities.
* Collaborate with colleagues to support operational delivery of team and regional strategies.
* Implement best practices for statutory compliance and record-keeping, including filings with Companies House.
* Attend and minute sub-board and committee meetings as required.
* Ensure timely submission of statutory financial statements for all UK subsidiaries and international construction companies.
* Provide support in banking matters, including Know Your Customer (KYC) documentation.
* Audit and maintain the Diligent Entities corporate database.
* Assist with legal entity rationalisation projects, ensuring proper procedures are followed for dissolutions.
* Help restructure and standardise the company secretarial electronic filing system.
* Continuously seek opportunities to improve processes and team efficiency.
* Build and maintain effective relationships with internal and external stakeholders.
* Manage a portfolio of stakeholders with a professional, solution-focused approach.
* Apply strong technical expertise in company secretarial practices and contribute to the delivery of function-wide strategies.
* Actively contribute to the company’s net zero carbon transition, identifying and managing carbon impacts related to your work.
Technical Competencies
Essential:
* Commercial awareness with a strategic mindset

* Familiarity with corporate governance codes and principles
* Proficient in company secretarial practices and systems

* In-depth understanding of industry-specific governance and compliance nuances

* Background in legal or regulated industries
Professional Competencies

* Chartered Governance Institute student member or fully qualified with at least 24 months of relevant experience
* Strong written and verbal communication skills

* Organised, efficient, and proactive
* Experience using Diligent software
