PRS for Music is looking for a Governance Manager to provide support to the Head of Governance, based in our London Bridge Hub working on a hybrid basis (minimum 2 days per week in the office). As part of a small Governance team sitting within the wider Legal function, there is opportunity for exposure to a broad and diverse range of company secretarial and corporate governance activities. This is an excellent prospect for an Assistant Company Secretary ready for their next step in an exciting and vibrant industry. Experience of working in a membership organisation is also beneficial.
Responsibilities
We are looking for a Governance Manager to provide specialist support to the Head of Governance and to act as a primary point of enquiry for internal colleagues. As a Governance Manager some of your day-to-day duties will include:
* Company secretarial duties including filing documents at Companies House and maintaining company records and registers.
* Board and committee meeting co-ordination including agenda preparation, tracking actions, and accurate minute taking.
* Supporting the Head of Governance and Governance team with management of the annual ballot for directors (known as the Members’ Council) and the Annual General Meeting.
* Assisting the Head of Governance as required including in the management of directors’ conflicts of interest and associated activities.
* Supporting on the induction and training of new Members’ Council, Board and Committee members and annual refresher training for existing Council Members including compiling, uploading and refreshing materials to the Board Portal and intranet.
* Monitoring changes in company law and regulation.
* Provide support on Governance, Legal Department and other strategic PRS business projects.
About You

* ICSA/CGI qualified or UK legal qualification with knowledge of UK company law.
* At least 3-4 years company secretarial experience.
* Experience of drafting company secretarial and governance documents, minutes, supporting business projects, and ensuring regulatory compliance.
* Experience of using board portals and systems for managing confidential information is highly desirable.
* Proficient IT skills, in particular, Excel, PowerPoint, Word, Forms.
* Excellent communication skills (oral and written) and strong diplomacy skills.
* Ability to remain calm under pressure and to operate effectively and with agility in a demanding and fast-paced environment.
