Job Title: Governance and Business Services Manager
Reporting to: Chief Operating Officer
Hours: Full time (fixed term contract)
Key Relationships: Chief Operating Officer, Chief Executive Officer, Chair of Trustees, Trustees, Senior Leadership Team (SLT), External Stakeholders, EA to the CEO, Chair of Charity, Trustees and external HR Consultant
Location: Warwick – Predominantly Office based role
Reward package: Up to £47,000 per annum
Additional Non-Financial Reward packages available
Overall Purpose
The Governance and Business Services Manager will support the COO and support the SLT to ensure the organisation is fully compliant with appropriate laws, charity governance, and organisational plans and policies, whilst providing executive and administrative support to the SLT, Chair of Trustees and Trustees.
This role will be the key contact and administrative support for all of our Trustees, including the Chair of the Board of Trustees.
The role will be responsible for collating operational plans and ensuring that they align cross Directorates and with our overall strategy.
Key Responsibilities
* To provide support and guidance to the Company Secretary of the Charity.
* Helping the Board of Trustees to meet their responsibilities
* Responsible for the compliance of charity law, including maintaining the register of members, the register of trustees / directors and secretaries, the register of trustees’ and secretary’s interests
* Ensuring that the board of charity trustees are aware of the requirements to comply with the relevant codes such as the charity’s Code of Conduct for Charity Trustees and the Charities Governance Code;
* Responsible for the filing all relevant statutory returns and information with the Charities Regulator (e.g. annual reports, changes to the charity’s details and/or trustees’ details);
* First point of contact for members of the Board of Trustees.
* Proof Read and Circulation of papers for Board and Committee Meetings
* Responsible for taking the minutes at board meetings and maintaining the records of all meeting minutes; Keeping a record of all issues discussed, decisions taken and any actions required to implement a decision; Working closely with the Chairperson to ensure that the draft minutes are accurate;
* To hold a high level of confidentiality
* Administering the recruitment of Trustees
* Overseeing the Trustee induction process
* Keeping the trustees skills audit up to date
Other Duties
To be responsible for NHS Charities Together central office in Warwick, maintaining the office environment to a high standard, and ensuring the smooth-running of life in the office through the management of room
To ensure that NHS Charities Together central administration team provides a high quality first point of contact for new charity enquiries either by phone or email, to alert relevant members of the team when required. To maintain a register of enquiries and ensure each one is dealt with by one of the Team.
