The Role
An exciting opportunity has arisen for an Associate Director, M & A to work in our Transactions and Corporate Tax Advisory team advising clients across diverse sectors on local and international corporate tax matters.
As a member of our team, you will be joining a high-performance innovative team operating within a flexible and hybrid work environment fostering new ways of working in a collaborative team culture.
Responsibilities
1. Lead and Manage Tax Due Diligence Projects:
o Oversee tax due diligence processes for M&A transactions, ensuring comprehensive identification and assessment of tax risks and opportunities.
o Coordinate with multidisciplinary teams to deliver cohesive and detailed due diligence reports.
o Identify potential deal-breakers, liabilities, and value-enhancing opportunities from a tax perspective.
2. Transaction Structuring:
o Advise on the tax implications of transaction structures, identifying risks, opportunities, and strategies to optimise tax outcomes.
o Design and implement innovative structuring solutions tailored to client objectives and regulatory requirements.
o Collaborate with legal and financial advisors to align transaction structures with business and tax considerations.
3. Legal Document Review:
o Review and analyse legal documentation, including purchase agreements, shareholder agreements, and tax covenants, from a tax perspective.
o Ensure tax-related clauses are accurately drafted and aligned with the agreed-upon structuring strategies.
o Provide proactive recommendations to address potential tax risks in legal documentation.
4. Client Relationship Management:
o Build and maintain strong relationships with clients, serving as a trusted advisor for all M&A tax-related matters.
o Lead client meetings, presentations, and discussions to articulate complex tax issues and solutions effectively.
o Actively participate in business development initiatives, including proposal preparation and client pitches, to expand the firm’s M&A tax services.
5. Tax Advisory and Risk Management:
o Provide strategic advice on tax-efficient acquisition, financing, and exit strategies for clients.
o Assess the tax implications of cross-border transactions and advise on international tax planning opportunities.
o Stay updated on changes in tax laws and regulations to ensure compliance and mitigate risks.
6. Team Leadership and Mentorship:
o Lead, mentor, and develop junior team members, fostering a collaborative and high-performing team environment.
o Provide guidance and support to enhance technical and professional development.
o Allocate resources effectively across projects to ensure timely and high-quality delivery.
Skills and attributes:
* ACA/ACCA or CTA qualified;
* Minimum 7 years’ post qualification experience of working in a tax department of large practice (ideally Big 6);
* Strong technical knowledge and proven ability to identify opportunities for clients;
* Approachable and respected member of the team who takes a proactive interest in the team's performance and wellbeing;
* Capable of working on your own initiative while taking responsibility and ownership for wider team issues;
* Ability to build trusted relationships with clients and the team.
