Under the direction of the Director of Commercial Contracts, the Contract Manager will be responsible for ensuring prospective North America commercial contracts comply with company policies, legal requirements, and customer specifications while maintaining acceptable turnaround times. This role will be actively responsible for their own contract reviews and throughput, as well as the supervisor of Contract Analyst(s).
Responsibilities
Key Accountabilities
1. Primary responsibilities are to review, draft, and negotiate terms and conditions in a variety of contracts in connection with the commercialization of Werfen products in North America. This includes all sales, service, marketing agreements and associated documentation for the US and Canada as proposed by third parties or on Werfen templates.
2. Ensures that offers and accepted contracts and contract modifications and amendments are in compliance with sales and marketing guidelines.
3. Represents key internal stakeholders, including finance, customer service, legal and compliance, to provide input and content when National Contracts, IDN agreements, RFP documents are being developed to ensure terms and conditions of those agreements are acceptable based on company standards/guidelines and risk management practices.
4. Coordinates large/complex contract administration assignments and performs dispute resolution through our Sales Field Exception process. Work with Sales Analysts to ensure that cost and price analysis has been completed before releasing documents for award.
5. Reviews and updates standard agreement templates while identifying terms and clauses in agreements that represent legal and compliance risks.
6. Trains employees in all aspects of basic terms and conditions review so that they are able to do a preliminary review and highlight for the contract review team sections of the agreement where assistance is needed.
7. Participates as needed at sales meetings to provide training and feedback to sales management staff on how to negotiate terms that are acceptable to both parties.
8. Prepares reports of instrument order contracts accepted and maintains a library of accepted contracts and an index of common exceptions that are needed to our standard terms and conditions so that input is available when contract forms are revised.
9. Works with Director of Commercial Contracting to develop solutions to improve internal visibility and efficiency in the contracting process, such as by streamlining templates and/or implementing contract management and workflow procedures and technologies.

Qualifications
Minimum Knowledge & Experience required for the position:
18. Business or Technical degree, or associate degree or paralegal certificate with 10+ years of relevant experience required
19. Experience in the medical industry is preferred
Management has the discretion of substituting relevant work experience for a degree and/or making exceptions to the requirements for years of experience.
Skills & Capabilities:
20. Must possess superior knowledge of the total contracting process, demonstrated contract drafting skills, and experience in reviewing and digesting contracts, purchase order terms and conditions, and identifying the parties’ contractual obligations.
21. Proven ability to adapt and manage effectively in a fast-paced, challenging environment and manage multiple, and oftentimes competing, priorities.
22. Must possess exemplary analytical and verbal communication skills.
23. Must possess the ability to negotiate complex agreements and communicate effectively with all parties internally and externally.
24. Excellent attention to detail, follow-up, and organizational skills.
25. Demonstrated ability to create and maintain strong business relationships with our Sales Field Personnel and Corporate Account Directors.
