Job Description This position assists the Eastern Hemisphere Legal team and Group Legal team, providing support in research and preparing legal documents and advice. The role plays a key part in the provision of legal services accorss the Group and business units. The Legal team is responsible for all legal, corporate governance and regulatory matters affecting John Wood Group PLC and its subsidiary and joint venture companies globally. Wood’s Legal Entity Rationalisation (LER) team need dedicated legal support to assist in the closure and reorganisation of legal entities. We are seeking a highly motivated and organised paralegal to join our legal team to support the LER activities internationally. The paralegal will play a key role in all LER activities requiring legal support. Responsibilities Gathers information through research and prepares summaries of findings for legal team, including analysis of key issues Manages / oversees the update and maintenance of internal databases, record keeping and dashboards Provides specialist administrative support, such as reviewing and drafting corporate minutes, board resolutions, capitalisations, payment of dividends, review and revision of contracts Assists internal and external counsel in areas such as the formation and dissolution of corporate entities, corporate transactions, preparation of disclosure schedules Drafts, prepares and reviews corporate internal and regulatory filings, director and officer changes, certifications, affidavits, proxies and powers of attorney Supports the Managing Counsel in respect to extternal legal spent, service providers, terms of engagement and fee arrangements Provides support to other members of the Eastern Hemisphere Legal team as required Qualifications QUALIFICATIONS Legal, Legal Executive or Paralegal qualification necessary Job Specific Experience Paralegal experience as a corporate and / or securities paralegal or specialist at either a law firm or in-house legal department Experience in a variety of general domestic and international corporate legal matters, e.g. M&A transactions, commercial contracts, corporate governance Experience in the oil and gas industry (preferred) English language fluency Microsoft office, excel and powerpoint proficient Knowledge Of Demonstrated a commitment to continuous learning and development Changing regulatory environment Experience Of Legal analysis and problem solving Able to work autonomously Working with external counsel and service providers About Us Wood is a global leader in consulting and engineering, helping to unlock solutions to critical challenges in energy and materials markets.
