We are looking for people willing to bring energy, enthusiasm, and commitment to the role of a Non-Executive Director, and who will broaden the diversity of thinking on our board. We are always keen to hear from those who may be interested in joining our Board of Directors.
We are particularly keen to hear from anyone with experience in any of the following areas:

* HR
* Legal
* Marketing & Communications
* Business, Leadership & Strategy
You do not need previous governance experience – we will provide a full induction and training.

Being a Non-Executive Director
Our Directors play a vital role in making sure that BounceOT achieves its core purpose. They oversee the overall management and administration of the social enterprise. They also ensure that BounceOT has a clear strategy and that our work and goals are in line with our vision.
Just as importantly, they support and challenge the senior leadership team to enable BounceOT to grow and thrive, and through this, achieve our mission to improve the quality of life and participation in meaningful activities for children and adults with disabilities.
Board members have a collective responsibility. This means that Directors always make decisions as a group and not as individuals, despite meeting 1:1 with BounceOT’s Founder as part of our model.
Your Responsibilities as Non-Executive Director
You will serve on our Board, overseeing the governance of the social enterprise on a voluntary basis and using your skills and experiences to help us run successfully and deliver our mission.
As a Director, your responsibilities include:
* Support and provide advice on BounceOT’s purpose, vision, goals, and activities.
* Approve operational strategies and policies and monitor and evaluate their implementation.
* Oversee BounceOT’s financial plans, budgets, and monitor then evaluate progress.
* Ensure the effective and efficient administration of the organisation.
* Ensure that key risks are being identified, monitored, and controlled effectively.
* Review and approve BounceOT’s financial statements and management accounts.
* Provide support and challenge to BounceOT’s Founder in the exercise of their delegated authority and affairs.
* Keep abreast of changes in BounceOT’s operating environment.
* Contribute to regular reviews of BounceOT’s own governance.
* Attend Board meetings, adequately prepared to contribute to discussions.
* Use independent judgment, acting legally and in good faith to promote and protect BounceOT’s interests, to the exclusion of their own personal and/or any third-party interests.
* Contribute to the broader promotion of BounceOT’s objects, aims and reputation by applying your skills, expertise, knowledge, and contacts.
* There may be times when the Director will need to be actively involved beyond Board meetings. This may involve scrutinising board papers, leading discussions, focusing on key issues, providing advice and guidance on new initiatives, presenting externally, or other issues in which the Director has special expertise.
Time Commitment
Directors are asked, as far as possible to be available for:
* Board of Director Meetings (4 meetings per year)
* 1:1 Meeting with Callum (Founder) - as needed to complete any actions assigned to you.
Meetings are held in person on a Thursday from 6.30pm - 8:30pm at BounceOT Stirling, Stirling Enterprise Park, Stirling, FK9 5NX. Remote attendance is available where required.
If the meeting time/day requires to be changed, this can be voted for within a Board meeting.
Directors are appointed for a 1-year term of office, with renewal for up to 4x further 1-year terms.
