The Team
Together with an assistant you will provide company secretarial services to a broad range of private entities, lending and leasing trading companies and other companies within the Triple Point Group. In this pivotal position, you will provide crucial support to the business, including Committee Support work, advisory support, and the use of Diligent entities. There will also be good exposure to transactional work.
The Role
The Employee's role as Company Secretarial Assistant will include, but shall not be limited to:
Subsidiary Governance
1. Responsibility for maintaining corporate records and making statutory filings.
2. Coordinating, attending and drafting minutes for the Triple Point Investment Committee meetings.
3. Arranging and minuting internal Group company and fund investee company meetings.
4. Liaising with investment teams to collate and circulate board packs.
5. Personal trading company (“PTC”) meeting pack preparation, effecting corporate transactions to include, but not be limited to, further capital contributions into the partnerships, share or partnership transfers, withdrawals and Members’ Voluntary Liquidation.
6. Ensuring accounts approved by the boards and filed on time.
7. Making all necessary Companies House filings including confirmation statements and membership appointments and terminations.
Corporate Actions
1. Supporting the launch of new funds and assisting with incorporation, admission documentation and associated matters such as implementation of policies, terms of reference, agreements, pre-admission filings and advising on governance arrangements.
2. Drafting documentation and ensuring execution of corporate actions, for example debt and equity raises (such as rights issues) and the disposal of assets, with appropriate legal support.
Preferred Knowledge & Experience
1. Previous experience in a company secretarial or legal administrative role.
2. Understanding of corporate governance principles and best practices.
3. Experience in supporting board meetings, including agenda preparation, minute-taking, and follow-up on action items.
4. If you are a qualified chartered company secretary this is a bonus but not essential.
5. Proficient with Diligent Entities software is also an advantage.
