Overview
We have an opportunity available for an experienced Governance Manager to join our UK business on a 6 month Fixed Term Contract. In this role you will play a vital role in upholding our governance framework. You'll ensure compliance with regulatory requirements and facilitate effective meeting governance. Support our Boards and Executive committee structures, maintaining the integrity of our decision-making processes.
How you'll make an impact
Meeting Coordination and Support:
1. Work with the relevant Chairs to assist in the preparation and distribution of agendas, board packs, and other relevant documentation for Board and committee meetings.
2. Coordinate logistics for meetings, including scheduling, venue arrangements, and technology setup.
3. Attend meetings to take minutes, ensuring accurate and timely documentation of discussions and decisions.
4. Build networks with the meeting members and attendees to build an understanding of the underlying business and utilise this knowledge to support governance improvement.
5. Coordinate appropriate escalation and reporting into senior governance committees and Boards.
6. Work with Chair to ensure Management Information is appropriate and supportive to the governance process.
Governance and Compliance:
1. Ensure compliance with statutory and regulatory requirements, particularly those specific to the insurance brokerage industry.
2. Maintain up-to-date knowledge of relevant legislation and best practices in corporate governance.
Documentation and Record Keeping
1. Maintain accurate records of Board and committee meetings, including minutes, resolutions, and action items.
2. Assist in the development and maintenance of governance policies and procedures.
Stakeholder Engagement:
1. Liaise with Board members, senior management, and external advisors to facilitate effective communication and information flow.
Project Support:
1. Assist in governance-related projects and initiatives, providing research and administrative support as needed.
2. Contribute to the continuous improvement of governance processes and practices.
About You
1. ICSA (Institute of Chartered Secretaries and Administrators) or legal qualification (or working towards it) is desirable.
2. Previous experience in a company secretarial or governance role, preferably within the regulated insurance or financial services sectors.
3. Solid understanding of UK corporate governance and regulatory requirements.
4. Excellent organisational and time management skills, with the ability to manage multiple priorities.
5. Strong attention to detail and accuracy in documentation and record-keeping.
6. Effective communication and interpersonal skills, with the ability to engage with stakeholders at all levels.
7. Proficiency in Microsoft Office Suite and familiarity with board portal software.
8. Discretion and integrity in handling confidential information.
9. Eligible to work in the UK.
