Company Secretarial Manager Job Opportunity Shrewsbury Full Time Onsite We are currently working with an established and forward-thinking organisation in Shrewsbury, who are looking to recruit an experienced Company Secretarial Manager to join their busy team. This is an exciting opportunity to provide valuable advice and support in relation to corporate transactions, including company reorganisations.As Company Secretarial Manager, the successful candidate will play a key role liaising internally with directors, client managers, and external clients. This is a fantastic opportunity to join a highly professional, integrated advisory support service, and make a real impact within the company’s business advisory function. Key Responsibilities: Lead and manage the corporate secretarial services team, delivering services for a diverse portfolio of clients, ensuring compliance with all regulatory requirements and corporate governance best practices. Achieve KPIs for the team and maintain high standards across all services. Assist with corporate restructuring, due diligence, and mergers/acquisitions. Advise on company law implications related to shares, voluntary striking off, Articles of Association, and company incorporations. Draft legal documents, including Board Minutes/Resolutions, Members Resolutions, Company House documents, and Share Certificates. Maintain statutory records and related documentation using electronic company secretarial software. Oversee client onboarding, ensuring all regulatory, legislative, and compliance responsibilities are met, and handling corporate company secretary engagement letters. Assist with the preparation and filing of annual Confirmation Statements and ERS returns. Build and nurture relationships within the firm and with external law firms. The Candidate: You are a qualified Solicitor/Legal Executive or hold ICSA/CGI qualifications, with at least 5 years’ experience in a similar role. Strong knowledge of UK company law, corporate governance, and regulatory frameworks. Excellent technical skills and a strong commercial awareness. Outstanding attention to detail and organisational abilities. A clear and confident communicator, both written and verbal, with strong interpersonal skills.
