1. JOB PURPOSE
Take accountability for company secretariat needs of the wider international organisation. In particular, manage the administration of the subsidiaries internationally and related companies of the company. Assist the Deputy Company Secretary in providing a comprehensive company secretarial service to the organisation.
2. DIMENSIONS
1. Responsible for the day-to-day entity management internationally.
2. Primary responsibility for liaison with professional advisors such as co Sec service providers.
3. PRINCIPAL ACCOUNTABILITIES
1. Ensure the group’s compliance with all relevant company law requirements.
2. Manage the corporate governance framework of the business. In particular:
1. Maintain oversight of all statutory records in accordance with statute.
2. Draft formal legal documents, such as Resolutions and Board Minutes related to board changes within the Group.
3. Work with international service providers to effect updates/changes/notifications for the entities based outside of the UK as required.
4. Keep Diligent entities up to date for group companies.
3. Assist with KYC and due diligence requests for licensed entities in the group.
4. Assist with queries related to Group structure; drafting, updating, and providing information and effecting changes as required.
5. Assist with the Annual Report and year-end process working closely with key stakeholders (Finance, HR etc) in preparing front end content.
6. Liaise with colleagues in Finance regarding subsidiary financial statements and manage any related approvals such as general meetings.
7. Draft corporate governance briefing papers for the relevant Board and Committee members.
8. Assist with integration matters post acquisition by 888 Holdings PLC.
9. Handle ad hoc queries.

5. QUALIFICATIONS, SKILLS & EXPERIENCE
1. Associate of Institute of Chartered Secretaries and Administrators / 3+ years’ experience in listed company environment.
2. Good IT skills.
3. Effective written and oral communicator at all levels.
6. CHALLENGES
Provide a comprehensive, accurate and proactive service to the wider company. Maintain good working relationships with colleagues outside the department. Ability to progress quickly and increase the level of support to the Deputy Company Secretary.
