Supporting the General Counsel & Society Secretary you will be responsible for facilitating the smooth operation of the Board and its committees, maintaining statutory records, and ensuring compliance with relevant legislation and regulations. Your expertise will help drive best practices in governance, providing essential support to senior stakeholders and ensuring the Society continues to uphold the highest standards of integrity and transparency. Heres a taste of what you will be doing as a Deputy Company Secretary at Nottingham Building Society: - Support the General Counsel & Society Secretary in all elements of the Secretary role to provide a comprehensive secretariat function to the Society. Experience using Co Sec tools such as Diligent would be highly advantageous. Timely and accurate preparation of Board and Committee documents at Level 1 (Board) and Level 2 (Exec) Committees. Maintain and update statutory registers, including directors' details, the membership register, and minutes of meetings. File statutory returns and documents with regulatory bodies in a timely manner, including at the FCA and PRA. Action all items from board and committee meetings ensuring they are tracked and completed within agreed timelines whilst providing regular updates on the status of action items to relevant stakeholders. Support in Annual General Meeting (AGM) preparation and execution; ensuring the AGM is conducted smoothly, with all legal and procedural requirements met. Provide support in the year-end process, in terms of annual report and accounts and liaising with external auditors. Enhance Corporate Governance Practices by ensuring the Society adheres to best practices in corporate governance, enhancing transparency and accountability. Conduct research on governance best practices and provide recommendations for improvement. Support the General Counsel & Society Secretary in governance-related projects and initiatives. Ensure compliance with Board and Committee procedures, Terms of Reference, Delegated Authorities and management of the Policy Register. Serve as a point of contact for board members and senior management on governance-related matters. Oversee the management of the Societys corporate insurances including negotiating the annual renewal and liaising with appropriate business areas to ensure that risks are adequately covered. About you: - Experience performing a company secretarial role in a financial services business or similar. Excellent knowledge of corporate governance matters and the ability to demonstrate a commercial frame of mind. Good knowledge of the legislative and regulatory requirements within which businesses such as Nottingham Building Society are required to operate, including the Building Societies Act. Ability to work with senior individuals, both at Executive and Board level. Ability to produce accurate, coherent and detailed minutes and drafts within agreed timeframes. You will be curious and pro-active taking full accountability and ownership within your role. Law Degree or Membership of the Institute of Chartered Secretaries and Administrators or working towards becoming a member through the ICSA exams.
