Role Overview:
Morgan Philips Specialist Recruitment is presently representing a leading energy consultancy firm in their search for a Corporate Governance and Commercial Lawyer to join their team. Reporting into the Head of Legal, the successful candidate will own a broad and varied role with key focusses on corporate governance, company secretarial and commercial legal matters.
Key Accountabilities:
* The support of existing committees and the development of new committees with appropriate terms of reference and other governance documents.
* Provision of support to the Board and Senior Leadership Team including the preparation of written resolutions and minutes and the compilation and monitoring of action logs.
* The provision of advice and support to ensure compliance with company law and the Company’s governance documents.
* Maintenance of the Company’s statutory and other registers and the development of systems to ensure robust and effective governance.
* Periodic review, updating and control of standard terms and conditions of contract;
* Monitoring of legal and regulatory developments within the energy sector and submissions in response to industry consultations;
* Drafting and reviewing contracts including commercial terms with stakeholders, non-disclosure agreements, consultancy agreements and other contracts when needed by the business and advising on the enforceability and enforcement of the same;
* Advising on internal policies, processes, and procedures to maintain regulatory compliance and best practice;
* Advising on general commercial matters including supplier contracts, terms and conditions, data protection, customer complaints and general legal advice;
* Monitoring and mitigating legal risks;
* Assisting with the resolution of disputes.
About You:
* Our client are open to applications from qualified solicitors, legal executives or qualified company secretarial professionals, although;
* Some experience in all of corporate governance, company secretarial matters and commercial contracts law is required.
* Prior experience in an in house legal environment is desirable but not essential
* Excellent verbal and written communication skills: you will be able to give legal advice in a clear, concise and well-organised manner tailored for different audiences.
* A measured and rational approach to problem solving exercising sound judgement and a solid business/commercial awareness.
* An ability to deliver under pressure and maintain a high level of performance in assigned areas of work.
