The equal shareholder companies are UK Power Networks Services and Veolia Water. The primary contract is between MUJV Limited and Aspire Defence Services and is for the operation and maintenance of the utility infrastructure across the five army garrisons in the Salisbury Plain area (Tidworth, Netheravon, Bulford, Warminster and Larkhill) and also the garrison at Aldershot. In addition to this we undertake works contracts for the design and installation of water, wastewater, gas and electricity infrastructure to new MoD assets between MUJV Limited and Aspire Defence Capital Works. The works and services delivery obligations have been subcontracted by MUJV Limited. Veolia Water has contracted responsibility for the water and wastewater infrastructure, UK Power Networks Services for the electricity infrastructure and a third party specialist for the gas infrastructure MUJV does not directly employ staff. All staff are seconded from one of the shareholder companies and their general terms of employment are defined by that company. The role and responsibilities are set by the Executive Directors of MUJV Limited under governance from the shareholder. JOB PURPOSE The Finance Director and Company Secretary forms part of the Senior Leadership Team and is responsible for high-level financial decisions of the c £20m organisation. Main tasks include: The financial, statutory and professional direction to the Board of MUJV Limited, and to manage the financial systems to support colleague MUJV Limited managers in delivering contract outputs and exercising appropriate management controls. The legal filing obligations of MUJV Limited under company law as Company Secretary. You will be responsible for MUJV Limited support infrastructure and control of the associated overhead costs. Line management of the Finance Manager and oversight of the Commercial Department. PRINCIPAL ACCOUNTABILITIES Manage all fiduciary responsibilities appropriate to being appointed as a Statutory Director of MUJV Limited. Ensure the financial integrity of MUJV Limited by developing, implementing and controlling Governance and Financial Processes throughout the Business Direct the activities of the Finance team to ensure income and expenditure is planned, managed and reported to ensure the ongoing viability of the Business. Work capital management to ensure no overdraft. Manage all tasks required of a Company Secretary, including keeping statutory records and submissions to Companies House within required deadlines. Ensure that all HMRC obligations concerning Corporation tax, VAT and other taxes are followed and that all submissions are made within required deadlines. As Company Secretary, organising Board meetings and ensuring all Board Meeting records are up to date, circulated and available. As Secretary of the Risk and Audit Committee, organising committee meetings and ensuring all meeting records are up to date, circulated and available. Monitor the operation of the Shareholders’ Agreement between Veolia Water and UK Power Network Services Ensure we continue to trade within the law and to the long-term benefit of our partners Ensure Statutory Auditors are appointed observing the approved governance and that audits are completed and accounts filed within required time frames with no audit qualifications. Ensure accurate monthly reports against annual budget / business plans and regular forecast updates for short, medium and long-term purposes to facilitate well-informed decisions. Communicate the contracts to the company and its partners to ensure management of contract deliverables. Control the commercial and financial management of supply chain contracts. Present financial reports to the Executive team and the Board. Manage insurances. Protect the Intellectual Property rights of MUJV and ensuring that Trade Mark registrations are kept up to date. Perform the function of Data Protection Officer under the ICO. Complete Health and Safety responsibilities of a business leader. NATURE AND SCOPE This is a professional role which oversees all the financial aspects of the company and the flow of financial information to the Managing Director and the Board. Additionally you will oversee commercial matters to ensure maximum performance. Apply accounting standards and conventions, and ensure that MUJV accounting policies and financial controls are followed. EXPERIENCE Professional accountant with several years’ senior management experience of financial control and management of construction contracts. As such all MUJV secondees are required to achieve and maintain security clearance. Failure to do so will result in your withdrawal from the project.
