Deputy Company Secretary - Nottingham City Contract type: Permanent

Location: Head Office, Nottingham (hybrid working, minimum 2 days per week working in the office)
Nottingham Building Society is looking for a Deputy Company Secretary to play a key role in supporting the General Counsel & Society Secretary, the Board of Directors, and the Executive Committee. This is a fantastic opportunity to contribute to the success of a well-established financial institution by ensuring robust corporate governance and delivering a comprehensive secretariat function to the Society.
Supporting the General Counsel & Society Secretary you will be responsible for facilitating the smooth operation of the Board and its committees, maintaining statutory records, and ensuring compliance with relevant legislation and regulations. Your expertise will help drive best practices in governance, providing essential support to senior stakeholders and ensuring the Society continues to uphold the highest standards of integrity and transparency.

Here’s a taste of what you will be doing as a Deputy Company Secretary at Nottingham Building Society: -
Support the General Counsel & Society Secretary in all elements of the Secretary role to provide a comprehensive secretariat function to the Society. Timely and accurate preparation of Board and Committee documents at Level 1 (Board) and Level 2 (Exec) Committees.
File statutory returns and documents with regulatory bodies in a timely manner, including at the FCA and PRA.
ensuring the AGM is conducted smoothly, with all legal and procedural requirements met.
Provide support in the year-end process, in terms of annual report and accounts and liaising with external auditors.
Support the General Counsel & Society Secretary in governance-related projects and initiatives.
Ensure compliance with Board and Committee procedures, Terms of Reference, Delegated Authorities and management of the Policy Register.
Oversee the management of the Society’s corporate insurances including negotiating the annual renewal and liaising with appropriate business areas to ensure that risks are adequately covered.
Experience performing a company secretarial role in a financial services business or similar.
Excellent knowledge of corporate governance matters and the ability to demonstrate a commercial frame of mind.
Good knowledge of the legislative and regulatory requirements within which businesses such as Nottingham Building Society are required to operate, including the Building Societies Act.
Ability to work with senior individuals, both at Executive and Board level.
Law Degree or Membership of the Institute of Chartered Secretaries and Administrators or working towards becoming a member through the ICSA exams.
