Company Secretarial Manager (In-House)
We are currently seeking a skilled Company Secretarial Manager with entity management and corporate governance experience! This Fixed Term Employment hybrid role is for a well-respected major Epiq Counsel client!

Qualifications:
* 5+ years of experience as a commercial paralegal, with significant exposure to entity management, corporate secretarial support, and corporate governance functions.
* Solid understanding of corporate law.
* Familiarity with international corporate governance standards is a plus.
* Experience with entity management software and databases.
* Proficiency in legal research tools and Microsoft Office Suite.
* Excellent analytical, communication, and interpersonal skills.
* Ability to work independently and as part of a team in a fast-paced, dynamic environment.
* High ethical standards and a commitment to maintaining confidentiality and integrity.
* Willingness to support a hybrid role requiring two to three days onsite in Greater London-based office.
Support our multinational corporate client on the following:
* Conduct legal research and provide summaries on various legal issues related to corporate governance and entity management.
* Draft and review basic legal documents and correspondence.
* Assist in drafting and reviewing various legal documents, including board minutes, resolutions, and shareholders agreements.
* Maintain a database of all group entities, including domestic and international subsidiaries.
* Support solicitors with mergers, acquisitions, and other corporate transactions by conducting due diligence, preparing transaction documents, and managing document execution.
* Assist with company secretarial duties, including filing at Companies House, maintaining statutory registers, and preparing necessary documentation for corporate filings.
* Conduct legal research and prepare reports on corporate law issues as needed.
* Manage and update corporate files and records.
* Support the team with general administrative tasks, including file management and client communications.
