Position Overview:
We are growing our ‘Rest of World’ legal team. The Omegro ROW legal team support businesses which are based across Canada, the US, UK, EMEA and Singapore. As member of a small legal team, you will be exposed to a range of corporate (M&A) and commercial work, and your contributions will have direct impact on the businesses you support.
As a Legal Counsel at Omegro, you will play a crucial role in providing legal support across a spectrum of responsibilities, primarily focusing on a variety of M&A transactions, and due diligence processes, as well as commercial contracts, and ad hoc legal advice. Your key responsibilities will include M&A NDA, LOI and SPA review and negotiation; coordinating with the cross functional teams during diligence exercises and collaborating with business units ensuring legal compliance and facilitating successful business operations.

* Experience of software licensing contracts, together with SaaS, IaaS, PaaS etc. highly desirable

Role
Your role will report to Claire Campbell, the Omegro ROW Legal Counsel, and you will be a key member in a small legal team supporting the operational needs of a number of IT/software businesses, as well as assisting the wider portfolio in their acquisitive expansion.
Duties
The role will support both operational and transactional (M&A) areas. This means that, at any time, you are likely to be working on the following:
* Reviewing/negotiating customer-facing contracts, including software-as-a-service agreements, master service agreements and professional services agreements (whether on vendor, or customer paper) and contract management
* Reviewing and advising on legal terms related to RFP submissions
* Reviewing/negotiating supplier contracts, ranging from mission-critical suppliers to standard form customer contracts
* Supporting advisory work on a range of business-related areas, such as intellectual property protection (as relevant to software companies), corporate administration, employment law matters and compliance matters
* Helping legal ops run smoothly, including contract management, developing training materials, writing policies/procedures
* Negotiating transactional NDAs ahead of an acquisition
* Supporting your colleagues with legal due diligence and transactional documents
Key Responsibilities:
1. Mergers and Acquisitions (M&A):
* Collaborate with cross-functional teams during M&A transactions, offering legal insight and support.
* Conduct due diligence activities to assess legal risks and compliance issues related to potential acquisitions.
* Review of transaction NDAs to the Volaris standard; review, negotiation and drafting of LOI and SPA documentation.
* Liaising with external counsel where appropriate.
2. Commercial Contracts:
* Draft, review, and negotiate a variety of commercial agreements, ensuring alignment with Volaris Group's legal standards.
* Provide legal guidance on contract interpretation, risk mitigation, and dispute resolution.
3. Confidentiality processes:
* Draft and review legal documents safeguarding Volaris Group's confidential information in various business interactions.
* Advise on the legal implications of NDA terms and conditions.
* Advise of the legal aspects of processes/ policies intended to protect Volaris’ confidential information.
4. Diligence and Compliance:
* Support and undertake legal due diligence on prospective business partners, identifying and mitigating risks.
* Ensure compliance with relevant laws and regulations, staying informed about changes that may impact the VBU, the Omegro Portfolio and Volaris Group more widely.
5. Cross-functional Collaboration:
* Work closely with a global range of business units, understanding their legal needs and providing tailored legal solutions.
* Offer proactive legal support to foster smooth collaboration between legal and other departments.
6. Training
* Support, develop and deliver training sessions that support the legal awareness of business units and assist in achieve compliance objectives.

You will be a key member of a small remote legal team. You will interact directly with the businesses that your team supports, which are located across Canada, the US, UK, EMEA and Singapore. Our ideal candidate would be able to demonstrate the following:
* Good understanding/experience in commercial and corporate law
* Understanding/experience in privacy laws and data security
* Interest and/or experience in IT, software, and technology law would be highly beneficial
* Experience of software licensing contracts, together with SaaS, IaaS, PaaS etc.
* Skills consistent with 5+ years post-qualification experience
* Ability to meet the duties outlined above reliably and consistently

The role would be suited to someone with good business acumen who can work remotely, independently and juggle multiple priorities. The ability to quickly adjust to different priorities is important as is the ability to execute consistently on business-as-usual tasks.
Strong interpersonal and communication skills to facilitate internal and external collaboration across multiple jurisdictions and stakeholders.
Requirements
The role is an in-house legal role, so you will need to hold a law degree and be permitted to work as a solicitor in your jurisdiction. You will also need to have the right to work in the UK or Europe, as well as a suitable remote working set up.
