Company Secretarial Assistant
Location: London Victoria (hybrid model, minimum 3 days in office).
Nord Anglia Education is looking to recruit a Company Secretarial Assistant to join our Legal team, sat within the Group Central Support. We are looking for an experienced, pragmatic, confident and energetic individual who will assist the Head of Secretariat in the provision of advice on the Group’s corporate governance, subsidiary management, KYC and transaction support.
The successful candidate will have experience working within a multinational organisation. You will have a proven ability to build and maintain excellent relationships with senior stakeholders, including members of the Senior Leadership Team and the Executive Committee.
The role:
We seek an individual to join as Company Secretarial Assistant where your focus will be to:
* Assist with statutory compliance work for UK and international subsidiary companies in the Group, ensuring that all relevant documents are filed at Companies House in accordance with statutory deadlines and corporate records are maintained and up to date.
* Assist in maintenance of global entity management system (Diligent Entities) to ensure details for Group subsidiaries are kept up to date, and support production of Group Structure Chart.
* Assist in the wider role out of Diligent Entities and assist in providing training to colleagues on the use of Diligent Entities.
* Arrange for preparation and execution of corporate documentation resolutions, powers of attorney and proxies for routine business and organising, if required, for such documents to be notarised and/or apostilled.
* Corresponding with international service providers in relation to routine and non-routine requests and maintaining relationships here.
* Draft resolutions for the approval of corporate actions for UK and international companies including to effect Director changes, share capital adjustments, transactional approvals, record administrative updates and confer Powers of Attorney.
* Support the Secretariat in providing governance support on intra-group projects including liquidations, cash repatriation, intra-group restructuring and capital reorganisations.
The Successful Candidate will possess:
* Experience working in a multinational organisation.
* Excellent team-player, with willingness to help and be flexible.
* Degree holder.
* Part or full CGI qualification.
* Excellent technology skills, including in relevant software packages such as subsidiary management systems (Diligent Entities), board portals (e.g. Diligent Board), Microsoft Excel, Word, Outlook, PowerPoint and Visio.
* High level planning, prioritisation and organisational skills.
* The ability to support transformational projects, to think strategically.
