Description/Job Summary To provide transactional support to the Real Estate team including deal execution, fund-level matters and general administration tasks. Responsibilities/Duties Real Estate/Finance Transactions: Preparation of kick-off packs; Assisting with the process of gathering, organising and sending over to the bank/bank’s counsel all due diligence reports under the transaction; Assisting with drafting documents (PMA, AMA, REOC letters, corporate authorisations, fee letters etc.) and drafting/submitting Companies House filings (SH01, AP01s, MR04s, Stock Transfer Forms etc.); Reviewing, proof-reading and amending transaction documents; Liaising with the client and providing any assistance needed re the opening and closing of accounts; Assisting in the drafting and satisfaction of conditions precedent (CPs) pre- closing of the deal; Liaising with local counsel with regards to their local CPs/CSs to satisfy and assist with any queries; Participating in CP calls and liaising with bank’s counsel in relation to CPs/CSs; Maintaining/updating signing/closing checklists; Coordinating the execution of the English (and sometimes local) law finance/transaction documents in the relevant jurisdictions required (i.e.UK, Luxembourg, Netherlands etc); Timetabling, drafting and satisfaction of conditions subsequent (CSs) post-closing of the deal Recording and saving key deal information and documents to our internal STB sharefile/FileSite; Creating and distributing transaction ‘mini bibles’ and ‘full bibles’ post-closing; Dealing with, sending and filing of originals during and after the transaction has closed; Conforming execution versions of documents; and Drafting/assisting with the summary of the key terms of the financing. Educated to at least a bachelor’s degree level in law (or equivalent) I.T. literate with a good knowledge of and competency in the use of Microsoft Word, Microsoft Excel, Adobe PDF, Filesite and iManage Previous paralegal experience working in a professional services environment preferred Excellent organisational skills and attention to detail essential Excellent communication skills with the ability to communicate with partners, clients and staff at all levels Motivated self-starter who is a good team player and able to use their initiative Flexibility – overtime will be required from time to time at short notice, to meet the needs of the client. General Tasks: Maintaining team specific trackers (reliance terms, bank ratings, fund guarantees) and sharing the trackers and any updates periodically with the client; Maintaining upcoming transaction timelines and sharing periodically with the client and external advisors; Maintaining and updating our knowledge/precedent banks; Processing audit request letters; Liaising with the agents in respect of any HMLR consents; Performing signature block checks for investing funds; and Handling any ad-hoc requests from the client. Company Search Reports: Preparation of company search reports involving a review of company filings history, incorporation documents and amending resolutions, company charges register, current appointments register; and Carrying out winding up / insolvency searches. Virtual Data Rooms: Preparation of VDRs using various third party providers - uploading and profiling documents; Monitoring progress of VDR - managing VDR requests and document downloads, creating/managing VDR user profiles and access rights; and Closing down the VDR and coordinating archives General Paralegal duties: Monitor group and personal emails for work requests Prioritize work to manage time effectively and meet deadlines Prepare for and attend departmental meetings and training sessions Review documents/agreements – proofread, review defined terms and cross-references Research using external subscription services (PLC, Westlaw, LexisNexis) Maintaining / updating closing checklists and providing ongoing status updates Conforming execution versions of documents Creating document closing “bibles” General administration tasks and other ad hoc duties as required.
