Job Title: Corporate Counsel (Maternity Cover) Department: Legal Reporting to: General Counsel and Company Secretary Nature and Scope of Position: Global role Commercial contracts: Contracts: preparing and reviewing drafts, liaising with the relevant third parties to implement any comments and updating the contract accordingly; arranging for the contracts to be signed, countersigned, scanned and filed Providing overall legal support with global activities, in particular retail, marketing and PR events Drafting templates and standard terms and conditions for various brand initiatives Contracts include marketing/PR agreements, licence agreements, distribution agreements, franchise agreements, and consultancy agreements Preparing and reviewing confidentiality agreements Intellectual Property: IP Portfolio / Notarisation of documents: instructing and liaising with IP attorneys and notaries to arrange for all relevant documents to be notarised and apostilled where relevant Trademarks: assisting with the registration of new trademarks and the re-registration of out-dated trademarks globally. Involvement in opposition proceedings by and against Jimmy Choo Designs: Arranging for the registration of designs, assignment of copyright and managing unregistered designs where necessary Requesting and collating information from other departments to provide evidence of use for trademarks Checking/clearing product names for use Working alongside Group Brand Protection who monitor marketplaces and social media to identify possible counterfeits of Jimmy Choo products, requesting that all such infringing items should be removed and following-up Attending Group Brand Protection meetings where necessary Company secretarial/Governance: Drafting board minutes and arranging signature Assisting the General Counsel with the financial calendar and associated corporate governance. Assisting with the internal corporate governance process and checking compliance with the rules Assisting Finance with KYC and AML requests for different entities/creating organisation charts for KYC requests Instructing external counsel where necessary for corporate and financial procedures Property: Providing advice on leases and concessions and instructing external counsel where necessary Maintaining and updating the property leases and concessions log and liaising with our translation office where necessary Attending regular lease review meetings with Group Finance Compliance: Providing advice and assisting with country-specific legal and compliance matters, including CCTV, promotions and prize draws Managing the Contractor database and keeping up to date with the tax rules (IR35) and working with the Group Tax Department Attending regular internal compliance meetings and actioning any issues Litigation: Assisting in the preparation and collection of all various documentation and evidence that might be required for possible proceedings involving Jimmy Choo Policies and procedures: Helping to research, draft and prepare company policy and procedure documents Updating the corporate governance rules for distribution Privacy Assisting the General Counsel and IT Security with the monitoring of the privacy in-boxes and data subject requests; keeping DSR and DPIA records updated Legal research: Conducting relevant legal research as requested General admin: Maintaining the relevant systems in place, including the legal safe, archiving, legal databases (e.g. IP, contracts, leases and consultancy agreements) Keeping Group/auditors up to date with signed contracts/minutes. Ensuring contract approval forms (CAFs) have been appropriately prepared for sign off Qualification/Education Must have a Law Degree Admitted as a solicitor in England & Wales Post qualification experience range: NQ to 2 years Experience Required Ideally experience from a similar role, within industry Experience of a commercial environment Particular skills/knowledge required Highly competent user of MS Office packages, particularly Word, Excel and Outlook Proficient user of Adobe Acrobat Strong organisational skills with the ability to multi-task and prioritise Excellent attention to detail and accuracy Proficient in English (both verbal and written) Able to incorporate regular mundane tasks into day to day workload Strong communication and interpersonal skills Confident team player, proactive with a “can do” attitude Ability to work in a fast-paced environment, being flexible in approach to meet the requirements of the business — At Capri, we are all responsible for creating a diverse and inclusive workplace.
