About the Role
Group Governance is the global governance team that provides governance and company secretarial support to the Chairman, the Board, Board Committees and subsidiary entities.
Based in London and reporting to the Principal Group Governance UK and the Principal Group Governance Americas, the Analyst Group Governance UK role has overall responsibility to support the Principal Group Governance Americas manage the provision of subsidiary management services for entities in Minerals Americas, Canada and Legacy Assets in the Americas, including advising and supporting directors in their duties of those subsidiaries and driving sound governance processes.
As a key member of an integrated and dynamic Governance team, the role will additionally support the wider UK Group Governance team more broadly, including organising and arranging approval process for non-US entities where needed, supporting with standardisation of BHP templates and implementation of the same and organising meetings, team events, training and travel).
Core Accountabilities
Americas Subsidiary Management
* Assists the Principal Group Governance Americas with filing annual returns, financial statements, and statutory corporate filings across multiple jurisdictions to ensure that each entity is qualified and in good standing in each jurisdiction where the conduct of its business requires qualification. Supports the Principal Group Governance Americas for overall management of the end-to-end lifecycle of the Group’s subsidiaries in Minerals Americas, Canada and Legacy Assets in the Americas.
* Supports the Principal Group Governance Americas to manage all shareholder meeting logistics for the subsidiaries including assisting with the preparation of papers and minutes/ written resolutions (with supervision from the Principal Group Governance Americas).
* Supports the Principal Subsidiary Management in the granting and revocation of powers of attorney of certain subsidiaries of Minerals Americas, Canada and Legacy Assets in the Americas.
* Assists with the completion of KYC requests from Cayman agents and other relevant third parties.
General Subsidiary Management
* Supports the Group Governance team in assisting directors and officers, including the appointment, resignation, induction and ongoing training opportunities for directors.
* Manages board and shareholder meeting logistics, including distribution of meeting agendas and papers.
Governance Engagement
* Assists the Group Governance team to proactively monitor external governance changes across the relevant jurisdictions and consider their implications for the team.
* Contributes to the annual Group Governance Representation Letter for subsidiaries.
* Supports the Group Governance team in setting the Budget for subsidiaries for relevant jurisdictions and delivering to plan.
* Supports the design, implementation, and continuous enhancement of BHP’s governance program (particularly in relation to support with standardisation of BHP templates and implementation of the same as well as the setting of the governance training schedule for the year).
* Prepares and manages the regional team’s budgets, including PO creation, contract management and re-forecasting.
General
* Ensures compliance to Our Requirements for Subsidiary Management including record keeping requirements in Blueprint and maintenance of Entity Organisation Charts.
* Advises and supports the Entity Reduction Team for the closure of entities and creation of legal entities as required.
* Updates, maintains, and files data and documents in Blueprint, Documentum, and iManage respectively.
* Performs business specific requirements (e.g., Know Your Client requests from banks and other vendors, business specific analysis, agents etc.)
About You
* Paralegal or company secretarial certification.
Experience & Technical Competencies
* Experience in building trusting relationships with key stakeholders (including senior leadership) to influence positive change.
* Practical experience in managing matters in multiple jurisdictions.
* Proactive to take on new tasks and create efficiencies for the Group Governance team.
* Demonstrated ability to recognize and prioritize key governance matters and projects and flexibility to alter priorities as circumstances change.
* Excellent oral and written communication skills with personnel at all levels with the ability to provide timely reporting to the Principal.
* High-level skills in Microsoft Office products (PowerPoint, Excel and Word), Documentum, iManage, 1SAP, and Blueprint.
