Work you’ll do As a TCII in this role, you will have a unique opportunity to be part of a small, but growing team, dedicated to assisting clients with M&A support from a tax perspective. You will gain first-hand experience in a wide range of industries and assist clients in making increasingly complex tax decisions that impact their business. Responsibilities: For both buy-side and sell-side transactions, assist our corporate and private equity clients with: Tax due diligence Tax structuring Tax modeling Understand the standard M&A deal process and use the tools & technologies to prepare and review tax due diligence reports, databooks, structure decks and models for C-suite audience and M&A deal teams. Understand and apply the tax technical concepts to perform complex tax research and formulate tax-planning strategies. Conduct extensive tax research involving complex technical tax issues across a broad spectrum of federal tax law (e.g. Subchapter C, Subchapter K, Subchapter S, consolidated returns, tax accounting methods, taxable and non-taxable transactions, executive compensation, international tax, multi-state tax etc.). Provide deal "kick-off" materials such as the Notes document (based on publicly available information such as SEC filings, Target website, etc.), M&A tax workbook, data request list, agenda, etc. Conduct self-reviews of the deliverables and analyze the review points and technical feedback to apply on future tasks. Check existing tax models and tax diligence findings for mathematical, logical and grammatical accuracy. Communicate with US M&A Tax team on a daily basis (or USI Tax senior or USI Tax Manager if applicable). Communicate with USI M&A Advisory team members (if applicable) to coordinate and align workstreams on the same M&A projects. Connect with Seniors and Managers to share ideas for new opportunities Establish positive working relationship with the US and USI M&A Tax professionals. The Team Deloitte Tax LLP, Merger & Acquisition (M&A) professionals provide corporate and private equity buyers with a broad continuum of advisory services to support mergers, acquisitions, carve-outs, investment and financing structures, disposition alternatives and post-transaction activities. Working with clients before, during and after the transaction, tax professionals work with clients across corporate functions such as finance, treasury, human resources, operations, information technology and risk management to analyze and evaluate the tax profile and to implement planning designed to help meet each organization's global goals, strategies and business objectives. Qualifications Required: Full time Masters in Business Administration (MBA) in Finance or equivalent from reputed University At least 2-4 years of experience in U.S. Taxation Consulting and compliance experience Experience with data manipulation / data preparation Exhibit strong Excel modeling skills Experience with reviewing / researching client data and other internal data sources Strong PowerPoint skills for creating due diligence / structuring books Background in: Tax technical (1120s and 1065s) S corporation requirements Financial accounting Strong communication and interpersonal skills; mastery of spoken and written English Understands engagement team structure and roles within the team Comfortable handling large amounts of data, organizing the data into a meaningful format and creating fluid and appropriate data summaries History of strong performance in current role Ability to adopt exploratory approach to tasks assigned Quickly adapt to a fluid and dynamic team environment Proven leadership skills demonstrating strong judgment, problem-solving, decision-making and project management abilities Work Location: Hyderabad Shift Timings: 11 AM to 8 PM IST How You’ll Grow At Deloitte, we’ve invested a great deal to create a rich environment in which our professionals can grow.
