Department Overview: Based in London, within the Financial Institutions (‘FI’) Sector, the EMEA Fund Finance (‘FF’) team is part of a global business responsible for the origination and execution of lending transactions to European funds as well as the management of the portfolio from a limit and strategic perspective. Our clients are predominantly made up of unlisted funds investing in private equity, secondaries, debt, real estate, and infrastructure, and are managed by leading financial sponsors across the globe. The product offering includes investor-backed capital call facilities, asset-backed NAV financing and hybrid solutions combining the two approaches. The FF EMEA team is now looking to hire an Associate/VP into the team to support continued growth of the business as it looks to deliver on growth targets, further diversify the product offering and support wider ING sponsor relationships. The role will sit within the Sector team, which is currently made up of 5 experienced fund finance professionals focused on relationship management, origination and execution of transactions. Core Tasks & Material Responsibilities Origination General duties relating to the origination of capital call and NAV lending transactions Identifying transaction opportunities and conducting general market research Completion and negotiation of term sheets, RfPs and other pitching documents. Attending client meetings and industry events, and preparing marketing/research materials Working with ING’s coverage, financial markets and other lending teams to coordinate an effective approach to client interaction and relationship management Identifying wider product opportunities across the existing client set and diversifying income streams. Structuring/Credit Structuring of lending transactions, including borrowing base assessments, covenant setting and cash flow modelling. Reviewing and analysing fund documentation, structures and investment portfolios to consider appropriate structures and credit risk appetite. Creation of internal credit proposals for new transactions Working with ING Risk to seek approvals for new transactions Responsibility for ensuring that limits are correctly booked in ING’s loan systems and reflected in other FF records on closing of transactions Ad-hoc tasks relating to internal audits and requests for information/analysis from Management. Execution Reviewing, negotiating and commenting on legal documentation for FF’s transactions, including loan agreements, intercreditors, ancillary documents and ISDAs/CSAs. Liaising with both internal and external counsel to negotiate ING’s preferred policy and credit positions and obtaining appropriate legal sign-offs when required. Working with syndicate banks, both where ING is Agent or participant. Keeping up to date with ING’s legal policy requirements and general market trends. Candidate Profile Skills/Qualification/Education Essential: Fluent English Educated to at least degree level Strong credit and technical skills Highly effective communicator and able to articulate complex topics effectively. Excellent IT skills with proficiency in Microsoft Excel, PowerPoint and Word Extensive transaction execution experience within an international financial institution Desirable: VBA, SQL, HTML, Microsoft Access skills or other database skills. Accountancy, finance or legal qualification Experience/Knowledge Essential: At least 3 years’ experience structuring fund finance transactions and a proven track record in execution Relationship management/origination experience from a client-facing role in a funds finance team Experience reviewing and commenting on loan documentation and term sheets Credit skills and experience creating proposal from the ground-up. Personable team player able to gain the confidence and trust of both colleagues and clients. Experience executing both subscription finance transactions. Knowledge of FX hedging products for funds and experience with ISDAs and CSAs. Desirable: Experience structuring and executing NAV facilities for private equity, secondaries and/or credit assets. Exposure to securitisation/third party capital programmes. Cash flow modelling experience.
