Job Summary:
Eurofins’ corporate development team leads the execution of the company’s strategic business and financial goals through merger and acquisition activity across all business lines. Our inorganic growth is a key component of Eurofins’ overall strategy. The company has historically completed several dozen transactions annually on a global basis.
The Associate Director will manage a complete pipeline of Mergers and Acquisitions (M&A) targets in the United States that generates $10MM to $50MM new revenues annually with an appropriate return in line with Eurofins’ financial objectives. This is a highly visible role in the organization with direct exposure to, and interaction with, business and corporate leadership.
The ideal candidate will have 5-7 years of experience in corporate development, transaction advisory, investment banking or private equity, including at least one year of buy-side M&A.
Job Duties and Responsibilities:
1. M&A Strategy and Sourcing:
* Market analysis and identification of potential acquisition targets.
* Select targets together with business leaders based on strategic relevance and likelihood of success.
* Coordinate information flow between the targets, Business Unit, and Eurofins.
* Approach potential targets and align their interests with Eurofins’ objectives.
1. M&A Execution:
* Prepare and manage confidentiality agreements and analyze preliminary data.
* Evaluate targets in conjunction with Business Unit leaders and recommend deal structure.
* Advise on the transaction process and assist in preparing negotiation documents.
* Coordinate due diligence and activities of external advisors.
* Assist negotiations and attend meetings until signing/closing.
* Validate acquisition contracts and manage attachments for contracts.
* Coordinate the closing of the deal, including financial statements.
2. Integration of the acquired companies:
* Assist in setting up reporting and communication between acquired companies and Eurofins' management.
* Support potential legal reorganization and financial optimization.
* Follow-up on post-closing obligations resulting from the acquisition.
* Prepare shareholder resolutions and follow-up on annual accounts.
EDUCATION and/or EXPERIENCE:
* Bachelor’s Degree in Business or Finance
o MBA or CPA is preferred.
o Science background or interest preferred.
* Outstanding technical understanding of finance & valuations.
* Minimum 5-7 years of M&A experience in Audit, Consulting, Investment Banking or Private Equity.
* Previous exposure and understanding of the M&A process.
* Fluency in English.
* Excellent knowledge of MS Office tools (Excel, PowerPoint).
