Description Overview: You’ll be working within the Entity Compliance and Governance team in Company Matters, a part of MUFG Corporate Markets, a division of MUFG Pension & Market Services. Award winning Company Matters is one of the largest company secretarial providers in the UK and well-known for its expertise in corporate governance advisory services and company secretarial administration. In Company Matters, the role is a Company Secretary, but you may know the role as a Consultant, a Company Secretarial Assistant or an Assistant Company Secretary. You will manage a diverse portfolio of UK and international clients, including subsidiaries of listed companies, providing entity compliance and governance advice and potentially board meeting support. Ideally, you’ll be based on a hybrid basis from our central London office, so should be within a commutable distance to enable you to be in the office when required. However, we are happy to consider your application if you live in other parts of the UK. We are looking for someone with demonstrable experience of working in a similar role in the UK for a minimum of 2 years to join our friendly, collaborative team. This means you’ll really need the following skills: • Strong technical entity compliance and corporate governance experience (minimum of 2 years) • Experience of managing a portfolio of subsidiary and stand-alone entities • Working knowledge of Diligent Entities (formerly ‘Blueprint’), Kube or other Entity Management systems • The ability to build and maintain relationships with intermediaries, third parties and key client contacts • Meticulous attention to detail, with excellent organisational and project management skills • Commercial awareness and the desire to contribute to a growing business • A strong team player and a willingness to travel to external client offices as and when required • Excellent verbal and written communication skills It would be nice to have: • A CGI (Chartered Governance Institute) qualification, or be a part qualified Company Secretary with demonstrable UK experience working in a Company Secretary role, ideally within a professional service environment • Knowledge of working in other jurisdictions outside of the UK and Ireland Day to Day, your key responsibilities will be to: • Advise domestic and international clients on UK and Ireland requirements, compliance, governance and transaction related matters • Draft various documents, including written resolutions, board minutes and Companies House forms • Prepare and file the relevant statutory submissions and returns on behalf of clients • Maintain corporate registers, Director details and records for client entities • Oversee, train and support more junior colleagues, enabling them to develop their career • Help to grow our business through client relationship management activities • Develop subject matter market insights, technical knowledge and service delivery templates, processes, tools and materials
