We have an exciting opportunity for a Company Secretarial Manager to work from either our Northampton, Leicester or Milton Keynes office. You'll be working with a broad range of clients who outsource their Company Secretarial duties to TC Group across a range of sectors, being responsible for a diverse range of tasks. You will be working closely with our client facing colleagues and other service lines including the Tax Advisory Team and the Corporate Finance Team to support and implement changes to our clients company structures. Key responsibilities of a Company Secretarial Manager will include: maintaining client company statutory registers including PSC registers filing annual Confirmation Statements (circa 80 per month) appointment/resignations of directors/secretaries including changes to their details changes to a company’s accounting reference date company name changes voluntary strike offs satisfaction of charges preparation of dividend paperwork communication to Companies House on behalf of clients to appeal penalties, delay strike off action incorporation of new companies, with model or alphabet shares as required share transfers, allotments and subdivisions amending / updating Articles of Association – mostly changing model articles to articles relevant to alphabet shares and variation of class rights for shares share for share exchanges reconstruction of statutory registers (mostly to support our Corporate Finance team) review of company filings at Companies House for accuracy/compliance (working with our Corporate Finance and Tax Advisory Teams) administrative restoration of dissolved companies provision of Certificates of Good standing dealing with s116 requests providing quotes for company secretarial services to new clients and set up on internal systems, including letters of engagement and AML requirements reporting – annually, quarterly, monthly, weekly and bi-weekly We also act for a number of Service Charge Accounting clients which, in addition to some of the above duties, also require share transfers from seller to buyer in the management company. You will be dealing directly with solicitors and the managing agents to effect these transfers and issue new share certificates.
