You will play a key role in supporting CBRE's fast-paced Corporate Legal team across EMEA, and will have the opportunity to work within a small, closely-knit team in London while simultaneously engaging with colleagues across London and EMEA on a broad variety of matters and tasks. Key Responsibilities - Databases: Real-time maintenance and updating of hCue Entity Management Software and team trackers; maintain quarterly hCue entity management reports. - Company secretarial: File all documents with Companies House for multiple UK companies, including changes of directors, share allotments, and etc.; maintain corporate books for UK companies; provide support to EMEA corporate board directors and board meetings; liaise with managing agents responsible for various group holding companies; maintain statutory records and registers. - Annual Accounts/PoAs: Manage the annual accounts sign-off process for the EMEA companies; process requests for signing PoA/Proxies and resolutions; support annual EMEA corporate audit compliance. - Corporate: Review and manage the execution of legal documents for internal corporate restructuring, recapitalisation, bond/note listings, etc.; work with external firms to incorporate/dissolve entities; coordinate subsidiary affairs including posting and notaries liaison. - Contracts: Assist with reviewing, executing and tracking inter-company Services Agreements. - Compliance: Assist with KYC requests, both internal and from service providers. - General support: Provide general support to the Corporate Legal team, including handling invoices and other administrative tasks, as requested by manager from time to time. Person Specification/Requirements - CGI qualified (or equivalent from overseas). - Minimum 2 years of solid company secretarial experience. - Independent, self-motivated, efficient and detail-oriented.
