Head of Governance
Salary £50,000-£60,000 per annum depending on experience.
The DDC Group has an excellent opportunity for a Head of Governance to join our growing global team. As a critical part of the Governance Team, reporting directly to the Group Chief Purpose Officer, the Head of Governance is responsible for ensuring that the organisation adheres to its purpose statement and values through effective governance practices. Responsible for ensuring the governance framework enables compliance with all statutory and regulatory requirements globally, and the availability of transparent performance information.
This role is a permanent full-time position. This is a hybrid role where you will work from home but have the flexibility with the ability to travel as this role will require travel to sites across the UK with at times, an overnight stay (travel costs will be paid for by DDC Group).
Key Responsibilities:
Governance Framework:
1. Ensure compliance with legal, regulatory, and internal governance requirements.
2. Develop and maintain governance policies and procedures.
3. Monitor and report on the effectiveness of governance practices.
4. Support all in maintaining a corporate governance framework that aligns with the strategic objectives of the company.
5. Monitor and interpret regulatory changes affecting the industry, ensuring the company remains compliant with all relevant laws and regulations.
6. Standardisation of Policies and Processes
7. Governance projects as requested by the Chief Purpose Officer.
Board Relations:
1. Support the Board in fulfilling its governance responsibilities.
2. Provide training and support to Board members on governance best practices.
Strategy alignment and Reporting
1. Identify and assess opportunities and challenges that impact the organisation's strategic direction.
2. Monitor, evaluate and report on the effectiveness of strategic initiatives and make recommendations to adjust as appropriate.
3. Understand and report on Company performance via methods such as KPI and OKR
Oversight:
1. Auditing and oversight to ensure that all parts of the business are compliant with best practice and our governance structures.
2. Work with the Teams to ensure ongoing suitability of the governance framework.
Leadership and Collaboration:
1. Lead and manage a team of governance professionals.
2. Collaborate with other departments to ensure alignment of governance practices with organisational goals.
3. Provide training and awareness programs to ensure employees understand their roles in governance and compliance.
4. Foster a culture of accountability, transparency, and ethical behaviour.
What do you need?
1. Deep understanding of corporate governance, risk management, compliance, and relevant regulations/legislation.
2. Experience in governance and compliance roles, ideally within the BPM sector.
3. Knowledge of Corporate Governance Frameworks, including the UK Corporate Governance Code.
4. Project management and policy development/implementation experience.
5. Strong analytical skills for interpreting complex regulations.
6. Conducting assessments to ensure compliance with governance and quality standards.
7. Proven interpersonal and communication skills at peer and Board level.
8. Effective team member with the ability to challenge and provide constructive feedback.
9. Flexibility to travel across the UK, including overnight stays, with some limited international travel.
10. Excellent organizational skills for managing multiple tasks and priorities.
11. Knowledge of committee operations and experience in servicing/managing committees, including drafting minutes and following up on actions.
12. Ability to write professional, clear, and concise materials (e.g., papers, policies, reports, presentations).
13. Experience working in accordance with regulations, policies, and procedures.
14. Strong interpersonal and influencing skills for engaging with senior internal and external stakeholders.
Experience/Qualifications
1. At least 5 years' experience in Corporate Governance.
2. Experience in a similar role, such as: Governance Manager, Governance Lead, Governance Director or similar.
3. Proven background in Audit and Compliance.
4. Having a BPM/Outsourcing background is an advantage, but not essential.
5. Highly organized and structured individual with a keen eye for detail.
6. Excellent stakeholder management skills, able to act with diplomacy and integrity.
