Overview: Reporting to and supporting the General Counsel (GC), the Temporary/Contract Attorney will provide counsel and guidance on legal matters and the legal implications of corporate strategies, policies, and programs. This position collaborates and provides legal advice as needed to colleagues across the Company; including department heads, officers, and staff employees of all the Company’s business lines. The Attorney renders legal opinions and support to the GC.
NOTE: This contract position may be based in Ipswich MA or Boston, MA.
Principal Duties And Responsibilities
* Review, negotiate, and draft contracts, leases, and other corporate documents.
* Work closely with the GC in the management of the Company’s employee stock plans, Insider Trading Program including filing of SEC Form 3, 4, and 5, and the Annual Report process for all corporate entities.
* Support Stockholder relations including stock issuance and transfer operations, and Stockholder correspondence.
* Assist with the management of the Company’s professional liability insurance program, trademark and copyright registrations/renewals, and review and approve marketing materials and promotions for compliance with applicable law and regulation.
* Draft information for distribution to business lines and/or deliver training to Company employees as needed.
* Attend and record minutes of designated Board and committee meetings, maintain key corporate documents, and support the GC with Board and Board committee meeting logistics.
* Provide legal support of the Bank’s compliance with Regulation O of the Federal Reserve.
* Provide support and analysis with corporate governance matters including the preparation of resolutions, monitoring corporate governance developments, and developing governance practices which meet the needs of the Company, Board, and Company’s investors.
* Support the GC with corporate disclosure and compliance with state company laws, stock exchange listing standards, and SEC reporting compliance.
* Advise on legal aspects of SEC and Nasdaq filings and disclosures, including assisting in the preparation of ’34 Act filings, including Forms 10-K, 10-Q, 8-K.
* Support the GC in providing counsel and guidance on all legal matters throughout the Company as well as on the legal implications of corporate policies, programs, and procedures to ensure that the Company conducts its business in compliance with all applicable laws and regulations.
* In collaboration with the GC, be responsible for advising and protecting the Company against legal risk with respect to legal, regulatory, and operational issues impacting the Company, provide legal advice and support to the Company’s business lines, and participate in major business transactions and legal actions.
* Evaluate the merits of legal actions filed against or on behalf of the Company and work with the GC, outside counsel, and/or appropriate executive(s) to define an appropriate defense.
Qualifications
* JD from an accredited law school and a member in good standing of the Massachusetts Bar or another US jurisdiction. Licensing or experience in MA, RI, and NY a plus.
* Minimum five years of relevant corporate legal experience, preferably within banking or financial services.
* Working knowledge of and experience in all areas of responsibility.
* Proficiency with MS Office (Outlook, Word, Excel, PowerPoint).
* Must thrive in a fast-paced, innovative environment.

* A strong team player who is solution oriented, able to solve problems with limited guidance and direction.
