In this role, you will have the opportunity to drive key governance and secretariat projects, having exposure to senior and executive management, advising them on good governance and best practice. As the new Senior Assistant Company Secretary, you will assist the Head of Statutory Compliance and Governance Reporting in secretarial and governance administration and where appropriate advice on company law and regulatory matters applicable to the OSB Group and its subsidiary undertakings. Within this role, you will assist in statutory and regulatory compliance of OSB’s listed and regulated entities, support the management of the newly implemented governance structure and ensuring that your portfolio operates within a robust governance framework, in line with best practice. Your responsibilities will include… Acting Secretary to Executive Management and Board Committees, providing effective servicing of meetings and providing end to end meeting support. This includes advising Committee chairs on company law and other statutory and regulatory matters, drafting of agendas, paper collation and review, distribution and follow up actions and assisting with the preparation of annual board and committee calendars. Assisting the Group Head of Governance and Secretariat with the meeting administration of any Board Committee as and when required. Co-leading on the AGM preparation and provide guidance (including drafting sections) of the annual report. Acting as Secretary to regulated or significant legal entities, including liaison with respective meeting chairs and senior executives in relation to onboarding, induction, training, succession, board evaluations and end to end meeting management. Support the administration of discretionary and all employee share plans (including, shares grants, vesting’s, processing leavers, monitoring of dilution limits. Act as an SME to the business on governance matters. Use strong critical thinking capabilities to create robust solutions and drive department initiatives.
