Role Overview
We are seeking an experienced Interim Legal Counsel to join our in-house legal team to assist with all legal aspects of two recent acquisitions. You will primarily focus on the contract reviews and contract migrations. This will require working with multiple stakeholders and customers to negotiate contracts and mitigate legal risks to ensure the successful integration of the newly acquired companies. Workload dependent, you may also help with BAU work or other projects.
Responsibilities
* Contract Review Project: Lead and manage a comprehensive review of customer contracts to identify and address potential legal and contractual implications arising from the integration.
* Customer Contractual Migration: Oversee the smooth migration of customer contracts, ensuring compliance with relevant legal and regulatory requirements.
* Legal Advice: Provide timely and accurate legal advice on a range of matters, including data privacy, intellectual property, and general commercial and corporate law.
* Contract Negotiation: Assist in the negotiation and drafting of various commercial agreements, such as customer contracts and partnership agreements.
* Risk Mitigation: Identify and mitigate legal risks associated with the integration process.
* Collaboration: Work closely with cross-functional teams, including business development, operations, and finance, to ensure alignment on legal matters.
What are we looking for?
* Fully qualified lawyer
* Proven experience in Commercial law areas
* Proven in-house legal experience, ideally working for a SaaS or tech company
* Extensive knowledge of contract review and negotiation
* Proven project management skills, owning workstreams, managing stakeholders, providing project updates
* Excellent attention to detail for the contract review work
* Pragmatic, solution-focused and able to provide pragmatic advice.
* Autonomous, able to own their own workload and work at pace
* No ego, willing to undertake all levels of work.
* Agile, able to adapt to a fast-paced environment.
