An exciting opportunity has arisen for an experienced Company Secretary to join CDP as their Director of Governance
CDP is a not-for-profit charity that runs the global disclosure system for investors, companies, cities, states and regions to manage their environmental impacts. The world’s economy looks to CDP as the gold standard of environmental reporting with the richest and most comprehensive dataset on corporate and city action.
Reporting to the Chief Legal Officer, the Company Secretary will play a crucial role in ensuring the smooth and effective functioning of CDP, supporting the Board of Trustees and executive management in adhering to regulatory and corporate governance requirements. This role will have key relationships with the Chair of the Board, Trustees, and the Chief Executive Officer.
Responsibilities of this role will include:
* Provide corporate secretarial and guidance to senior management and other teams on corporate governance matters, ensuring the organization's activities are in line with its legal charitable requirements.
* Lead on ensuring compliance by CDP Worldwide and its subsidiaries with corporate governance and reporting requirements
* Establish a global system of delegation of corporate authorities and provide advice in relation to it.
* Support the Chair and CEO in optimizing Board effectiveness, including coordinating the annual effectiveness review process to enhance Board performance.
To be successful in this role, you will be a part/fully qualified company secretary (or solicitor) with in-depth knowledge of corporate governance principles, legal and regulatory requirements, best practices and English company and charity law and Charity Commission guidance. Passion and interest in sustainability and CDP’s mission will be of importance for this role.
This role offers hybrid and remote options for working. Attendance at board meetings will be required.
