Job summary
The Corporate Governance & Membership Officer will work with the Corporate Governance team in the effective delivery of a comprehensive corporate governance service to the Trust. This will include ensuring the Trust's Council of Governors are supported to function effectively and members are fully engaged with the Trust. The role will deliver a professional, confidential, and high-quality administrative and logistical support service to the Trust's Board of Directors, Board Committees, and Governor meetings, to include agenda production and management, timely production of papers, advanced minute-taking and follow-up of actions as required from the meetings. As Corporate Governance and Membership Officer, this role will be a key contact and support for Trust Governors and Members. The role will assist in the establishment, coordination, maintenance, and ongoing development of a range of corporate governance processes and systems, which ensure statutory and regulatory compliance.
Main duties of the job
In partnership with clinical colleagues, ensure that activity and quality targets are achieved and develop action plans to manage any variances.
1. Lead on the interpretation and application of Trust policies on behalf of the directorate/division, using judgement and discretion as required.
2. Contribute to Trust policy development as part of the Trust operational leadership team.
3. Develop operational policies and operating procedures on behalf of the division.
4. Take responsibility for ensuring maintenance and quality assurance is in place for all equipment resources.
5. Have operational and strategic responsibility for pathway management and delivery of performance targets for all specialties within their Directorates, including waiting list management, cancer standards, workforce, and finance.
6. Be responsible for operational effectiveness, capacity and demand management, and ensure pathways are optimized to support performance targets and financial targets, including waste reduction.

Qualifications
Essential
* Certificate in Corporate Governance, Corporate Governance Diploma, Chartered Governance Secretary qualification or similar.
Desirable
* Degree or equivalent professional qualification (ideally in business administration).
* NVQ 4, RSA 3 typing word processing.
* Certificate in Corporate Governance.
Experience
Essential
* Experience of business administration in a large complex organisation.
* Experience of taking high-quality minutes of complex meetings capturing precise and succinct action points.
* Communicating with internal and external stakeholders.
* Planning meeting dates, the preparation and distribution of agendas, papers, action trackers.
* Booking of venues/rooms and making appropriate catering and IT arrangements.
* Management of Members and Governor communication forums.
* Shorter- and long-term planning and delivery of distinct projects.
* Experience of working with projects where multiple work procedures and practices exist.
* Providing guidance on matters of governance to staff.
* Organising meetings and events involving staff and/or the public.
* Interpreting & implementing national local service/Trust policies.
Desirable
* Experience of creating, developing, and implementing new and improved systems and administrative processes.
