Job Purpose
The Director, Legal will lead the regulation and compliance function of IBA and ensure that IBA complies with its regulatory obligations under the UK Benchmarks Regulation (BMR) and the relevant sections of the FCA's Handbook. This position will report to the Head of Legal and Compliance, IBA.
Responsibilities
* Understand and advise on UK and EU Benchmark Regulation, EUDR, DORA, GDPR and other applicable EU and UK data, derivatives, financial services and sustainability regulation.
* Negotiate bespoke vendor and service provision contracts related to IBA's business, including IP, Data, and Technology services.
* Manage and update IP licensing documentation, including MLA, QV, Schedules, Side letters, Exchange letters, Legal Notices, terminations and amendments, novations, regulatory addendums, and web-platform terms of use.
* Support IP filings and applications, including trademarks and patents, with the assistance of external counsel as applicable.
* Enforce IP, including through cease and desist communications.
* Support disputes and litigation work, with assistance from external counsel as applicable.
* Support on English law corporate matters, including those relating to IBA's board of directors.
* Manage and update legal aspects of commercial documentation, including fee schedules, user guides, presentations, press releases, user emails, and notices.
* Review and address legal queries and comments on standard licensing documentation and regulatory terms from clients.
* Review and address legal queries related to oversight committees for products.
* Assess legal risks associated with IBA products and assist with producing board and risk committee papers.
* Support legal work related to audits and assurance.
* Work with senior ICE lawyers and business teams on company-wide initiatives impacting IBA.
* Manage external counsel as required in multiple jurisdictions related to IBA products.
Knowledge and Experience
* Ideally a 3-5 year qualified solicitor with experience in one or more of financial services regulation, benchmarks, derivatives, IP and/or data.
* Private practice experience is essential; in-house experience is potentially useful.
