What is the opportunity?
You will be an Assistant Subsidiary Governance Officer.
As a key member of the Subsidiary Governance Office, Europe (SGO), you will support the Subsidiary Governance Officer within RBC BlueBay Asset Management with all administrative tasks to ensure the activities of this business division are conducted in a compliant, organised and timely manner in line with SGO Policy and local governance practices.
You will also provide general support to the Subsidiary Governance Office Europe in relation to the activities of SGO in the region.
What will you do?
* Assist the Group Company Secretary for designated subsidiaries and high-level Board and governance Committees.
* Assist the Group Company Secretary in providing support and ongoing advice and counsel to Directors and officers of designated subsidiaries on governance issues, company law and regulation.
* Support Board related activities for designated subsidiaries including planning and preparation for Board and Committee Meetings, assisting the Group Company Secretary in the preparation of Resolutions, and maintaining corporate Minute Books.
* Preparation and submission of corporate and regulatory filings for designated subsidiaries.
* Assist the Group Company Secretary in providing advice and counsel and guidance to all subsidiaries, responding to enquiries and sourcing solutions to issues on Board protocols, Board and Committee Meetings, directorships, Minute taking, preparation of documentation and other matters pertaining to Board activities and corporate governance.
* Assist in answering RFPs, DDQs, etc.
* Responsible for ad hoc requests including notaries and regulatory reporting.
* Impact in ensuring corporate statutory compliance for legal entities in the UK & Europe, including the management of governance risks for designated subsidiaries.
* Assisting with maintaining the corporate registers and internal schedules, including GEMS.
* Responsible for maintaining Power of Attorney and Authorised Signatory Lists.
* Responsible for organising meetings with Independent Non-Executive Directors and internal stakeholders.
What do you need to succeed?
Must-have
* University degree or equivalent/similar.
* Undertaking or looking to undertake the Chartered Governance Institute qualification.
* Sound computer skills, able to adapt and apply new technologies.
* Good working knowledge of Outlook, Microsoft Word, Excel and PowerPoint.
* Excellent attention to detail and accuracy.
* Interpersonal skills with clear communication, both written and verbal.
* Highly organised and an ability/willingness to learn.
* Ability to manage multiple tasks and prioritise.
Nice-to-have
* University degree in law/governance or similar relevant field.
* Company secretarial or legal experience in the financial services industry or equivalent in large public or private company desirable but not essential.
* Experience with Diligent and GEMS.
