Company Secretary We are recruiting for a Company Secretary to join our Corporate Team. Core purpose of the role: Record Financial Group is keen to appoint a company secretary. This is a senior appointment guiding the plc and subsidiary boards on corporate law, governance, strategy and corporate secretarial practice. The role reports to Kevin Ayles, Chief of Staff, who sits on the UK PLC board of Record plc. Essential Skills: Recent track record in company secretary work for a PLC, ideally but not essentially in a financial services company (fund management, bank, insurance) ideally 5 - 8 years' experience Detailed knowledge and insight of UK Corporate Governance and regulation including all key reporting requirements required for a listed PLC Holder of the CGI certificate (Chartered Governance Institute of UK and Ireland). Required Technical Knowledge: Detailed knowledge of UK Corporate governance code, UK MAR rules and all other relevant FCA regulations Thorough knowledge of key UK listing rules. Key responsibilities: Working with our Chairman and the boards to plan and implement the core UK corporate governance schedule for Record Financial Group and related constituent parts Enable good communication between the board, committees, senior management and non-executive directors, and shareholders and the wider business as and when required Working with our Chairman to organise board meetings and Annual General Meetings (AGMs), preparing agendas and taking minutes, ensuring the meeting packs are dispatched in a timely manner, logging and managing action points File timely and essential statutory documents with Companies House, such as annual returns, audit reports and director changes and draft RNS announcements Responsible for updating of board and committee terms of references and articles of association Drafting corporate governance sections of the Record plc annual report Manage board evaluation processes Liaise with external regulators and advisers, such as our lawyers and auditors Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements. Key Characteristics: Enthusiastic and confident communicator both with written documents and in presentation, with good listening skills Highly organised with well-honed project management skills with close attention to detail Diplomatic with a polite persistence Commercially minded with a wider interest in the fund management sector Collegiate with an ability to work autonomously when required High level of numeracy and confident understanding financial data Able to plan strategically as well as dive into immediate detail Interact effectively with senior internal stakeholders of the Record Financial Group and the wider business including the key external stakeholders, eg auditor Confident in using Excel, Word and PowerPoint Educated to degree level Highest level of professionalism and integrity Benefits: Bonus scheme - paid twice a year (usually November & June) Pension - defined contribution scheme: 11% employer contribution plus may elect for additional personal contributions.
