Corporate & Commercial Solicitor - Remote, England Job Overview Reporting to the Board, the Corporate & Commercial Solicitor will be responsible for a wide range of corporate and commercial matters. Commercial: producing/reviewing business terms and conditions, technology contracts, supply agreements, NDAs and other commercial contracts and dealing with franchising and data protection/GDPR issues. Corporate: buying and selling companies (asset/share), own-share purchases, company incorporation and secretarial services, share reorganisations and restructuring, joint venture agreements and shareholders agreements. Duties and Responsibilities Our Corporate and Commercial Solicitor will handle a diverse caseload covering both corporate and commercial legal matters. You will have the opportunity to get involved in a range of matters supporting the board and others within the team, whilst also having the opportunity to work on your own matters. Whilst not an exhaustive list, you can expect to work on a wide range of matters including: Company acquisitions (assets and shares) Company reorganisation and mergers Shareholders Agreements Consultancy Agreements Joint Venture Agreements Preparation and negotiation of commercial contracts General corporate governance and company secretarial work Commercial, technology, IP and data protection matters Outsourcing/service-related matters You may from time-time to be asked to help other legal departments within the business, particularly the property team & assisting with the completion of leases for new sites Understand the bigger picture and relevant commercial requirements, assisting on special projects wherever necessary. Build relationships with all stakeholders Recognise the things that add value to the business Knowledge, skills and experience required Be a newly qualified solicitor with previous experience working in a Corporate / Commercial department, or have completed a training seat in this practice area You will have a great eye for detail Excellent drafting skills Ability to manage client expectations Excellent verbal and written communication skills Confident and able to network Ability to work to deadlines/targets and prioritise and manage a varied caseload Deployment You will work 5 days out of 7 with weekend work from time to time. This position requires occasional evening and weekend work to respond to emergency situations. Be available as required to assist with time sensitive projects Report weekly and be available for video calls and meetings as required.
