YOUR IMPACT
The role is for a qualified or part-qualified Charteredpany Secretary in thepany Secretarial Group ("CSG") in London Legal which currentlyprises a team of threepany Secretaries with administrative support. The team is managed by a Corporateernance lawyer. The CSG is responsible for the corporate administration of all of the GS UK entities (over 100) and a number of overseas entities. This includes three regulated UKpanies and one Irish-regulatedpany, for whom the CSG manages the Board and Boardmittees. The CSG uses Blueprint OneWorld ("BPOW") for its entity management and an internal global entity management database.
This interesting position will provide an opportunity to gain an in-depth understanding of the corporate duties undertaken by the CSG, and the associatedernance. The successful applicant will be part of a small, professional team and have the opportunity to liaise with people at all levels and in all areas of the firm.
RESPONSIBILITIES
1. To provide administrative support in the provision ofpany secretarial services to the Goldman Sachs Group's entities in EMEA. This includes the preparation for board andmittee meetings, including collating and distributing materials, attending and minuting the meetings.
2. Liaising with other divisions (legal,pliance, regulatory liaison, executive office) to ensure the smooth running of the boards andmittees.
3. To assist the CSG in maintaining accurate entity records, assisting with processing key returns topanies House in particular Annual Filings (confirmation statements), Officer changes (appointments & resignations), the maintenance of the PSC register and capital and other constitutional changes.
4. To assist the CSG in setting up a number of new entity records on the entity management systems.
5. To assist in maintaining the integrity of the entity and individual director information on the database and to assist the CSG in validating entity and individual information on a regular basis.
6. Liaising with overseaspany secretarial service providers for SPVs in other jurisdictions.
7. Respond to the numerous requests that the CSG receives for timely management information and reports on GS entities andmittees.
8. Progress the preparation of Secretary's Certificates and Delegated Signing Authorities including Powers of Attorney.
9. Review, analyse and help implement emerging corporateernance developments.
10. Regular contact and coordination with senior members and relevant groups throughout the firm, including credit, treasury, New York legal,pliance, controllers, tax; in addition to external counsel and notaries.
11. Assist in improving the efficiency & effectiveness of thepany Secretarial Group.
SKILLS / EXPERIENCE
12. Should be a qualified or part-qualified Chartered Secretary (ACIS or FCIS).
13. Experience in preparing for, attending and minuting board andmittee meetings, including agenda setting, preparation of board packs, liaison with presenters highly desirable.
14. Entity management experience and exposure to managing multiple entities, dealing with all aspects ofpany Secretarial Practice.
15. Practical experience of using BPOW, Diligent, e-filing atpanies House and other online resources.
16. Proven excellent organizational skills and attention to detail.
17. Able to work independently and manage deadlines, and work well under pressure.
18. Excellent interpersonal andmunications skills and willingness to be part of a team.
19. Enthusiasm, flexibility, proactive nature, and an interest inpany secretarial matters and the business of the various business divisions at Goldman Sachs.
20. Ideally, experience of working in a Financial Servicespany Secretarial role, however relevant experience gained in other industry sectors will be considered.
