What does a great Paralegal do?
Works as an essential part of the Company Secretarial team in a friendly and supportive environment. They would provide support to Travelport on a variety of company secretarial areas arising across the European/MEA region, primarily day to day filing requirements, corporate entity management, drafting of board minutes, powers of attorneys, and intercompany agreements.
Responsibilities include:
1. Maintaining statutory compliance for our UK, European, Middle East African (EMEA) companies and branches with scope to extend remit.
2. Attending to corporate secretarial tasks including but not limited to amending articles of association, company name changes, director/secretary/officer appointments/resignations, share transfers/allotments/pledges, incorporations, change of auditors, change of registered office address, change of names.
3. Drafting board and shareholder minutes and other corporate documents (stock transfer forms, bank mandates and ultimate beneficia ownership filings)
4. Provide clear and practical advice and support on how to manage legal issues and processes to management and staff through in-person meetings, video calls, emails and other forms of communication.
5. Providing support on ad hoc company secretarial, corporate, and regulatory matters.
6. Assist in the management of statutory financial filings, liaising with treasury, tax, and finance while working with the local boards to facilitate the signing and filing of annual filings.
7. Provide support on departmental administrative matters, including but not limited to invoicing, expenses, accruals, and formatting of documentation.
8. Supporting Travelport's company objectives, vision, and values.
Who we are looking for in this role:
9. A minimum of 2 years relevant experience as a paralegal/administrator supporting CoSec or corporate transactions with either a specialist paralegal qualification, law degree, an award in legal studies or a National Association of Licensed Paralegals (NALP) paralegal practice award, certificate or diploma or Company Secretarial/ICSA qualifications.
10. Excellent oral, interpersonal, and written communication skills. Ability to work under pressure, multi-task and ensure projects are progressed in a timely manner.
11. Excellent organisational skills, detail-oriented, flexible, and innovative. Strong sense of business and legal ethics.
12. Ability to work both as part of a team and autonomously.
13. Excellent knowledge of Microsoft word. Experience of Diligent preferable.
